易鑫集團(02858.HK)獲騰訊和黑馬資本溢價11.6%提收購要約 16日復牌
格隆匯6月15日丨易鑫集團(02858.HK)發佈公告，於2020年6月12日，母公司Yiche Holding Limited（為騰訊的全資附屬公司）、合併附屬公司與易車訂立合併協議，母公司、合併附屬公司與易車已有條件同意透過合併進行業務整合。此乃根據開曼羣島公司法第XVI部，合併附屬公司與易車合併和併入易車的法定合併，其後易車將為存續公司和成為母公司的全資附屬公司。
於合併生效後，易車的法定控制權將出現變動，而因此買方團（騰訊和黑馬資本）或彼等的關聯方將獲得公司的控制權。買方團經諮詢執行人員意見後，將透過聯席要約人Tencent Mobility及Hammer Capital Offerco，根據收購守則規則26.1註釋8就所有已發行易鑫股份作出易鑫股份要約，及根據收購守則規則13作出易鑫購股權要約。
就每股易鑫要約股份現金為1.9088港元，較於規則3.7公告刊發前的最後一個交易日在聯交所所報的每股易鑫股份收市價1.71港元溢價約11.6%，此外，就註銷每份易鑫購股權現金1.8980港元。
於2020年6月15日，騰訊與黑馬資本就規範彼等有關要約的關係；要約的進行及執行；及於要約完成後彼等之間有關各自於公司股權的安排而訂立買方團協議。根據買方團協議，騰訊與黑馬資本已協定除非買方團協議內另有明確協定及除適用法律規定外，所有關於要約的決定須由騰訊及黑馬資本共同作出；騰訊及黑馬資本將向其各自的聯席要約人墊支足夠現金，每項付款均根據買方團協議、要約條款及收購守則的規定按騰訊及黑馬資本各自的所有權百分比作出。
據悉，Tencent Mobility為於香港註冊成立的有限公司。其主要業務為開發及營運網上娛樂服務、提供廣告服務及投資控股。該公司為騰訊控股的全資附屬公司，而騰訊控股為中國領先的互聯網服務提供商。
Hammer Capital Offerco為於英屬維爾京羣島註冊成立的有限公司，乃為了執行要約而註冊成立。該公司由黑馬資本全資擁有，而黑馬資本的一般合夥人為Hammer Capital Opportunities General Partner，而後者由曾令祺先生最終實益擁有。
於要約截止後，聯席要約人有意繼續集團現有業務。於本聯合公告日期，聯席要約人將於要約截止後繼續經營其現有主要業務，而無意在其一般及日常業務過程之外，終止集團任何僱員的受聘，或出售或重新調配公司的固定資產。然而，於緊接要約截止後，聯席要約人將會對集團的財務狀況及營運進行審核，以制定集團的長遠策略。聯席要約人或會探討業務╱投資機會，並考慮是否有任何合適的資產出售、資產收購、業務撤資、重組及╱或業務多元化計劃，以促進其未來發展和加強其收入基礎。
公司將於合併完成後成為騰訊控股的間接附屬公司。聯席要約人有意於要約截止後維持易鑫股份在聯交所的上市地位。
此外，公司股票將於2020年6月16日復牌。
