西藏藥業(600211.SH)：獲斯微生物新冠疫苗、結核疫苗及流感疫苗產品全球獨家開發、註冊、生產、使用及商業化權利
格隆匯 6 月 15日丨西藏藥業(600211.SH)公佈，公司與斯微(上海)生物科技有限公司(“斯微生物”)合作研發，僅獲得相關疫苗的全球獨家開發、生產、使用及商業化權利，公司不成為相關疫苗的權益所有人。此次合作涉及的預防性疫苗產品在中國尚處於臨牀前研究階段，海外相關工作尚未啟動，海外申報、註冊、審評、產品上市需遵照當地的法律法規要求，存在不確定性。
公司通過向斯微生物支付新冠疫苗產品、結核疫苗及流感疫苗產品合作對價，獲得上述產品全球獨家開發、註冊、生產、使用及商業化權利。
斯微生物於2016年在上海張江藥谷創立。自成立以來，斯微生物已打造了50人的研發和醫學團隊，擁有3000平方米的研發場地，包括近400平方米的GMP 生產設施，並在國內建立了第一條成熟的mRNA 疫苗生產線。斯微生物目前已獲多家國內風險投資機構的投資以及國家科研項目的支持。
(1)新冠疫苗產品合作對價
作為斯微生物就“新型冠狀病毒疫苗”產品對西藏藥業全球獨家授權的對價，西藏藥業同意將向斯微生物支付：
(i)預付款(含税總額)：3500萬人民幣；
(ii)註冊里程碑款(含税金額)：
a.獲取中國藥品監管機構的臨牀批件：3500萬人民幣；
b.II期臨牀試驗完成：總計6000萬人民幣；分兩次支付：
II期臨牀首個病人首次給藥：2000萬人民幣
於中國藥品監管機構登記的II期臨牀試驗獲得陽性結果：4000萬人民幣
c.於中國藥品監管機構登記的III期臨牀試驗獲得陽性結果：7000萬人民幣；
d.獲得中國藥品監管機構批准上市：1.5億人民幣。
(2)結核疫苗及流感疫苗產品合作對價
公司同意向斯微生物就結核疫苗產品以及流感疫苗產品分別支付50萬定金價款(共計100萬人民幣)，據此鎖定斯微生物在本戰略合作下就該等產品在全球區域的獨家授權。雙方應於後續合理期間內確定上述產品的具體註冊里程碑對價。
雙方確認：為確保雙方戰略合作的可持續性和商業利益，如果新型冠狀病毒疫苗產品注冊及商業化進程中發生重大不利事件，則斯微生物對結核疫苗產品以及流感疫苗產品的相關“斯微生物權益”全球獨家戰略合作授權將不再要求西藏藥業支付除約定特許權使用費以外的其他對價，但雙方應繼續按本協議關於“戰略合作框架安排”之規定負責產品進一步開發、註冊、商業化及生產供應方面的相應職責，各自承擔相關費用。
上述產品特許權使用費：在專利期內按年彙總及支付，按上述疫苗產品基於中國區域銷售以及從中國區域對外出口產生的淨銷售額的6%計算；如果公司將中國以外的國家或區域的商業化權利另行分許可，公司就每個該等分許可所收取的首付款和可適用的里程碑款的50%轉讓給斯微生物；如果該等海外區域分許可所適用的特許權使用費費率低於分許可區域淨銷售額的12%，則公司還需獲取斯微生物對該等海外區域分許可的事先同意。如果該適用費率不低於12%(含本數)，則該等分許可無需斯微生物同意，並且斯微生物所能分享的特許權使用費應等於分許可區域淨銷售額的6%。
