國際家居零售(01373.HK)非執董劉振華遭新加坡當局調查
格隆匯 6 月 15日丨國際家居零售(01373.HK)發佈公告，公司非執行董事劉振華已告知董事會，新加坡金融管理局(“MAS”)和新加坡警察部隊的商業事務局已開始向Eagle Hospitality Trust(“EHT”，在新交所上市的房地產投資信託，負責管理的現任董事(包括劉振華)、前董事和高級管理人員進行聯合調查，涉及涉嫌違反《新加坡證券和期貨法》(第289章)第203條的披露要求。劉振華為受調查的EHT旗下管理公司董事會的獨立非執行董事。EHT的業務與集團的業務無關。
根據新加坡金融管理局於2020年6月5日發佈的媒體新聞稿(以下簡稱“MAS媒體新聞稿”)，該新聞稿於2020年6月8日在新交所官方網站上發佈的EHT公告(以下簡稱“EHT公告”)中提及有關EHT發佈可能違反相關法律法規以及新加坡的上市規則有關。還指出如果所獲得的表明證據如果已犯其他罪行，則調查範圍將擴大。根據MAS媒體新聞稿，Eagle Hospitality REIT (“ EH-REIT”)和 Eagle Hospitality 商業信託(“ EH-BT”)組成的固定信託。在EH-REIT拖欠一筆3.41億新加坡元的貸款後，新交所EHT單位的交易在2020年3月24日被自願中止。違約的原因指EHT物業的主要承租人Urban Commons LLC 未能(i)根據主要租賃協議應付的全部保證金存入EHT，以及(ii)自2019年12月以來及時支付租金。根據EHT公告，截至EHT公告之日，有關當局尚未向EHT的管理人員披露調查的任何進一步細節。
劉振華為公司的非執行董事，並不參與公司的日常管理。他還是Japan Home (Retail) Pte. Ltd 的董事，公司一家在新加坡經營的零售商店，在新加坡註冊成立的非全資附屬公司，他主要負責該附屬公司的關鍵人才管理工作，包括招引、保留及開拓領導者和員工。就董事會所知，所悉及所信，該調查與集團的任何事務無關。
