姚記科技(002605.SZ)擬2.63億元收購蘆鳴科技88%股權
格隆匯6月12日丨姚記科技(002605.SZ)公佈，公司擬與鄭隆騰、夏玉春、朱煜麟、黃立羽、上海蘆趣企業管理諮詢合夥企業(有限合夥)(“蘆趣公司”)、黃旭晨(“交易對方”)簽訂《關於上海蘆鳴網絡科技有限公司之股權轉讓協議》，公司擬以現金方式收購參股公司上海蘆鳴網絡科技有限公司(“蘆鳴科技”、“標的公司”)88%股權，購買價格為約2.63億元。此次交易完成後，公司將持有蘆鳴科技100%股權，蘆鳴科技將成為公司全資子公司。
蘆鳴科技主營業務為互聯網營銷，以技術和數據驅動流量運營，深挖流量價值。公司以效果廣告營銷為核心，構建了覆蓋數據分析、效果營銷、效果優化、短視頻內容生產、內容營銷的互聯網營銷全鏈條，通過技術和數據提升用户轉化效果，為網絡服務、電商、遊戲、金融、教育、快速消費品等行業客户提供最具商業價值的一體化營銷服務。
蘆鳴科技擁有行業領先的廣告效果優化團隊，憑藉着豐富的移動互聯網營銷經驗，準確分析目標用户網絡行為特徵，挖掘其潛在需求。蘆鳴科技幫助客户制定基於目標用户的整體優化策略，有針對性地對廣告物料、投放時段、目標人羣、投放媒體、投放地域、人羣拓展等方面進行優化，為客户提供創新、高效、符合成本要求的整體優化方案。
蘆鳴科技致力於為客户提供移動互聯網精準營銷服務，以基於大數據的精準營銷提升廣告投放回報率，與大量優質客户形成長期穩定的合作關係，打造了強大的行業頭部客户資源矩陣。蘆鳴網絡不斷以技術和數據賦能互聯網營銷，以優秀的整合營銷能力滿足客户的營銷需求。
2020年至2023年，蘆鳴科技的業績承諾額分別為2700萬元、人民幣3500萬元、人民幣4000萬元和人民幣4500萬元。此次交易完成後，公司將持有蘆鳴科技100%的股權，其為公司全資子公司，將納入公司合併報表範圍，公司計劃將投入資源進一步支持蘆鳴科技的發展。如上述業績承諾完成，將為公司帶來長期穩定、持續的財務收益，同時為股東創造更多價值。
