國新能源(600617.SH)擬3.68億元轉讓國新利用100%股權予國新能源集團
格隆匯6月12日丨國新能源(600617.SH)公佈，為進一步推進公司資產結構優化，提升盈利能力，公司將持有的國新利用100%股權轉讓給國新能源集團，國新能源集團為公司的控股股東，因此，該轉讓事項構成關聯交易。此次轉讓的股權價格以具有證券期貨從業資格的評估機構出具的資產評估報告為依據確定，基準日為2020年4月30日，公司持有的國新利用的股權評估值為約3.68億元。公司將持有的國新利用股權按約3.68億元的價格出售給國新能源集團。價款支付方式為現金支付。
通過此次交易，公司可實現資金回收，增加公司現金流動性。此次股權轉讓完成後，公司不再持有國新利用股權，國新利用不再納入公司合併報表範圍。經公司初步測算，此次交易成功後將對公司最近一個會計年度經審計淨利潤產生積極影響，最終淨利潤以審計金額為準。
公司全資子公司山西天然氣有限公司為國新利用向交通銀行申請的5000萬元的貸款提供了擔保。截止目前，國新利用剩餘1000萬元債務未清償，將於2020年8月2日到期。國新能源集團同意在股權交割日前協助國新利用清償前述債務，以解除山西天然氣有限公司對標的公司的擔保責任。
截至2020年6月11日，國新利用及其子公司對公司及其子公司的債務合計17.82億元，最終債務金額以交割日賬面數為準。國新能源集團同意在股權交割日前協助標的公司及其子公司清償對公司及其子公司的債務。
此協議交割日後，國新利用將其所有運營資產以及直接持有的公司股權託管給公司。對於國新利用託管的運營資產，公司享有全部與資產有關的運營、經營管理權限，但不涉及國新利用的組織架構、人事調整。對於國新利用託管的股權，除法律法規和被託管企業章程所規定的利潤分配請求權、剩餘財產分配請求權、委託方所持被託管企業股權的處置權（包括但不限於權益轉讓或在權益上設定擔保等）外，公司可以對被託管企業行使全面的經營管理權。託管費用為120萬元人民幣/年(含税)，按年支付。國新利用與公司另行簽署《委託管理協議》作為此協議的附件。
