中遠海能(600026.SH)擬出售大連油運所持部分公司股權及資產 清理非主業業務
格隆匯6月12日丨中遠海能(600026.SH)公佈，、公司全資子公司大連中遠海運油品運輸有限公司(以下簡稱“大連油運”)於2020年6月12日與中遠海運大連投資有限公司簽署《深圳中遠龍鵬液化氣運輸有限公司70%股權轉讓協議》，以人民幣7745.55萬元的價格出售其所持有的深圳中遠龍鵬液化氣運輸有限公司(以下簡稱“龍鵬公司”)70%股權；
大連油運於2020年6月12日與大連投資公司簽署《大連中遠海運油運電子有限公司60%股權轉讓協議》，以人民幣244.22萬元的價格出售其所持有的大連中遠海運油運電子有限公司(以下簡稱“電子公司”)60%股權；
大連油運於2020年6月12日與大連投資公司簽署《大連中遠海運油運希雲自動化有限公司57.5%股權轉讓協議》，以人民幣183.32萬元的價格出售其所持有的大連中遠海運油運希雲自動化有限公司(以下簡稱“希雲公司”)57.5%股權；
大連油運於2020年6月12日與大連投資公司簽署《大仁輪渡有限公司15%股權轉讓協議》，以人民幣710.29萬元的價格出售其所持有的大仁輪渡有限公司(以下簡稱“大仁公司”)15%股權；
大連油運於2020年6月12日與大連投資公司簽署《大連中遠海運油品運輸有限公司資產轉讓協議》，以人民幣22,059.96萬元的價格出售其所持有的投資性房地產、部分固定資產及無形資產；
大連油運於2020年6月12日與大連中遠海運物資供應有限公司(以下簡稱“物資供應公司”)簽署《大連中遠海運油品運輸有限公司供應分公司資產、存貨和債權轉讓協議》，以人民幣7,741.80萬元的價格出售大連中遠海運油品運輸有限公司供應分公司(以下簡稱“供應分公司”)所持有的一批固定資產及無形資產；以人民幣770.34萬元的價格出售供應分公司項下的庫存；以人民幣754.31萬元的價格出售供應分公司項下的債權。
公司目前通過大連油運持有龍鵬公司70%股權、電子公司60%股權、希雲公司57.5%股權及大仁公司15%股權。
在上述股權轉讓完成後，大連油運將不再持有龍鵬公司70%股權、電子公司60%股權、希雲公司57.5%股權及大仁公司15%股權。其中龍鵬公司、電子公司及希雲公司將不再納入公司報表合併範圍。
根據目前評估值確定的轉讓價格與賬面值之間的差額計算，集團將確認股權轉讓的虧損約人民幣3091.39萬元(主要是由於深圳龍鵬股權的估值虧損所致)及資產轉讓的收益約人民幣974.51萬元。因此，集團將確認本次出售大連油運持有的部分公司股權及部分資產的虧損總額約人民幣2116.88萬元。出售事項的所得款項淨額將用於集團一般營運資金。
本次擬轉讓的股權涉及LPG運輸、船舶通導及自動化設備供應維修、輪渡業務，均屬於公司主業範圍外範疇，轉讓資產主要為房屋土地、船舶備件倉儲等，也屬於主業範疇外資產，本次股權和資產轉讓有助於公司清理非主業業務，聚焦油氣運輸板塊，優化資產結構。
