興源環境(300266.SZ)：子公司擬向新希望投資集團續借剩餘借款2.5億元 年利率5.5%
格隆匯6月12日丨興源環境(300266.SZ)公佈，公司於2019年12月9日、2019年12月25日分別召開第四屆董事會第八次會議及2019年第九次臨時股東大會，審議通過了《關於子公司向公司控股股東借款暨關聯交易的議案》，因經營業務及資金週轉需要補充流動資金，公司子公司杭州中藝生態環境工程有限公司、浙江水美環保工程有限公司、浙江省疏浚工程有限公司(以下合稱“公司子公司”)向公司控股股東新希望投資集團有限公司(以下簡稱“新希望投資集團”)借款，合計人民幣30,000萬元，年利率5%，借款期限自提供資金之日起最長不超過6個月(含)，該筆借款將於2020年6月29日到期。
截至目前，公司子公司已累計歸還本金5000萬元。鑑於該筆借款即將到期，以及公司子公司自身資金狀況考慮，公司子公司擬向新希望投資集團續借剩餘借款2.5億元，借款年利率為5.5%，借款期限1年。
以上交易構成關聯交易，不構成《上市公司重大資產重組管理辦法》規定的重大資產重組，不需要經過有關部門批准。
根據《深圳證券交易所創業板股票上市規則》的規定，公司在連續十二個月內與同一關聯人發生的關聯交易，應當按照累計計算原則履行相關義務。公司於2020年4月9日認購新希望(天津)商業保理有限公司(以下簡稱“新希望保理”)發起設立的“開源-平安-新希望供應鏈金融8號資產支持專項計劃”次級資產支持證券，認購總價款900萬元。新希望保理與新希望投資集團系同一實際控制人劉永好先生控制的公司，所以新希望保理與新希望投資集團系公司的同一關聯人。公司於2020年4月13日召開第四屆董事會第十一次會議，審議通過了《關於公司向控股股東續借部分借款暨關聯交易的議案》，公司向新希望投資集團續借11,000萬元。除已提交公司股東大會審議通過的受劉永好先生控制的同一關聯人的關聯交易外，前述資產支持證券認購事項、公司向新希望投資集團續借款事項與本次關聯交易的累計金額超過了公司最近一期經審計淨資產絕對值的5%，本次關聯交易事項尚需提交股東大會審議
