杉杉股份(600884.SH)擬收購LG化學旗下在中國大陸等地的LCD偏光片業務及相關資產
格隆匯6月9日丨杉杉股份(600884.SH)披露重大資產購買預案，此次交易對方為LG化學及其子公司中國樂金投資、南京樂金、廣州樂金、台灣樂金。
此次交易標的為LG化學旗下在中國大陸、中國台灣和韓國的LCD偏光片業務及相關資產，具體包括：(1)北京樂金100%股權；(2)南京樂金LCD偏光片業務；(3)廣州樂金LCD偏光片業務；(4)台灣樂金LCD偏光片業務；(5)LG化學直接持有的LCD偏光片資產；(6)LG化學直接持有的與LCD偏光片有關的知識產權。
根據上市公司與LG化學、中國樂金投資、南京樂金、廣州樂金、北京樂金、台灣樂金簽署的《框架協議》，LG化學將在中國境內以現金出資設立一家持股公司，上市公司以增資的形式取得該持股公司70%的股權，LG化學持有剩餘30%的股權。雙方實繳資金用於收購整合後的交易標的。持股公司對交易標的的整合將在重組報告書中予以披露。
此次交易，上市公司通過對持股公司增資的方式取得持股公司70%股權，並通過持股公司間接購買標的資產70%的權益。標的資產的基準購買價為11億美元，此次交易的基準購買價為7.7億美元。最終購買價格基於交易標的基準購買價和正常化運營資本、交割運營資本、交割淨現金、員工離職補償金扣減額等因素調整確定。
此次交易前，上市公司核心主業為鋰電材料的研發、生產和銷售，是國內橫跨正極、負極和電解液三大鋰電材料的生產企業，是我國最大的鋰電材料綜合供應商之一。目前公司鋰電材料的產能規模、技術水平、客户質量、市場份額均處於行業領先水平。
目前我國已成為全球最大、增長速度最快的LCD市場。受益於我國下游面板行業的迅速發展，作為面板的核心材料之一的偏光片需求量穩步增長。上市公司通過此次收購進入全球僅由少數幾家公司主導的LCD偏光片市場，並繼續維持原LG化學在LCD偏光片市場的領先地位，利用其關鍵解決方案及技術來擴大市場佔有份額。同時偏光片的本土化生產，有助於提高我國偏光片業務的自給率，進一步完善產業佈局，增強上市公司的整體競爭力和可持續發展能力。
