長榮股份(300195.SZ)擬與名軒投資進行資產置換 置入名軒智慧城股權
格隆匯6月9日丨長榮股份(300195.SZ)公佈，2019年4月，公司境外全資子公司長榮盧森堡現金認購德交所上市公司Heidelberger Druckmaschinen Aktiengesellschaft(“海德堡”)約8.46%的股權。近日，根據海德堡公佈的2019/20財年(2019年4月1日至2020年3月31日)年度報告，受到疫情的影響，海德堡全年銷售額為23.49億歐元，同比下降5.66%。其中，第四季度的銷售額為6.59億歐元，較上年同期下降1.38億歐元，同比下降17.31%。同時，為應對上述宏觀因素的影響，海德堡將同步進行重組(主要為削減人才成本開支等)，該重組涉及的辭退福利等產生非經常性支出2.75億歐元(該重組發生於2020年3月)。綜合上述因素，海德堡全年淨利潤虧損-3.43億歐元，同比下降3.64億歐元。
按公司持有海德堡8.46%的股權測算，如果公司繼續保留持有的海德堡股權，則預計將對公司2020年1-3月淨利潤影響數為約人民幣-2.22億元。
為消除上述因素的影響，充分維護公司股東利益，公司擬與名軒投資進行資產置換，擬置出資產為長榮盧森堡 100%股權(長榮盧森堡持有海德堡約8.46%的股權)及其他存在潛在虧損風險的相關資產，擬置入資產為名軒智慧城股權，差額以一方向另一方現金方式補足。此次資產置換涉及的具體資產範圍尚需交易雙方進一步確定。
此次資產置換是為提高公司資產質量，改善公司經營業績的重要舉措。通過此次交易，公司將逐步置出虧損、潛在虧損或存在不確定風險因素的資產，置入可為公司帶來穩定利潤和現金流的優質資產和業務，有利於公司優化資產和業務結構，提升持續盈利能力，並消除因疫情導致境外參股公司業績虧損對公司產生的不利影響。確保公司以及股東，特別是中小股東的利益。
同時，此次交易完成後，置出的長榮盧森堡股權仍由公司控股股東持有，對公司與海德堡的戰略合作關係不會產生影響。
