中源協和(600645.SH)：實控人非經營性資金佔用2000萬元
格隆匯6月9日丨中源協和(600645.SH)公佈，公司於2020年5月25日接到財務總監王鵬通知，財務管理中心在編制2020年度4月份合併報表過程中，發現公司全資子公司上海執誠生物科技有限公司(以下簡稱“上海執誠”)在2020年4月27日與深圳市中源協和生物治療公益基金會(以下簡稱“深圳公益基金”)發生一筆2000萬元的往來款，構成實際控制人非經營性資金佔用。董事長龔虹嘉先生立即安排公司董祕、財務總監及內控審計室、財務管理中心對該事件展開調查，經調查發現時任總經理李德福在2020年4月27日以往來款名義批准全資子公司上海執誠支付給深圳公益基金2,000萬元，違反了公司內控制度、上海執誠財務支出審批管理規定及正常的財務審批流程，上述關聯交易事項未履行公司董事會審議程序。內審調查報告已經提交給董事會審計委員會。公司前期不存在與深圳公益基金髮生資金往來的情況。深圳公益基金由公司實際控制人、副董事長李德福先生髮起設立、擔任理事，並由李德福先生實際控制，根據《上海證券交易所股票上市規則》的規定構成關聯方。
資金佔用規模：本次非經營性資金佔用金額為2000萬元，佔公司淨資產比例為0.60%，佔公司歸母淨利潤比例為40.25%。公司不存在其他非經營性資金佔用、違規擔保等侵佔上市公司利益的情況。
還款及整改措施：
1、李德福先生已簽署個人承諾書，李德福承諾全力負責督促深圳公益基金在2020年6月30日前足額歸還上海執誠￥2000萬元本金，其個人承諾對該款項按期足額歸還承擔個人無限連帶責任。
2、完善內控制度，嚴格按照公司關聯方資金往來制度執行，防止非經營性資金佔用的情況再度發生。
3、強化公司董事會審計委員會的作用，建立大額資金往來審核制度。
4、組織公司管理層和公司實際控制人及控股股東相關人員學習《證券法》、中國證監會、上海證券交易所的相關法規，強化控股股東責任和守法合規意識。公司已將此事報告天津證監局。
