*ST中天(600856.SH)全資子公司青島中天9900萬元銀行貸款逾期
格隆匯6月9日丨*ST中天(600856.SH)公佈，近日，公司及全資子公司青島中天能源集團股份有限公司(以下簡稱“青島中天”)，武漢中能燃氣有限公司(以下簡稱“武漢中能”)、湖北合能燃氣有限公司(以下簡稱“湖北合能”)收到中國農業銀行股份有限公司青島四方支行(以下簡稱“農行四方支行”)發來的《告知函》《貨款到期通知書》《債務逾期催收通知書》《擔保人責任履行通知書》。
2019年2月14日，公司第九屆董事會第二十四次會議審議通過《關於為全資子公司提供擔保的議案》，公司全資子公司青島中天能源集團股份有限公司向中國農業銀行股份有限公司青島四方支行辦理流動資金借款申請展期業務，借款金額分別為：2900萬元；3000萬元；4000萬元，展期期限均為1年，由公司提供連帶責任保證。
由於加拿大石油天然氣價格受美國頁巖氣影響大幅下降，導致海外公司收入急劇下降，國內金融機構進一步去槓桿導致公司融資愈發困難，再加上公司陸續自查出違規擔保事項，公司現金流出現重大流動性問題，國際原油貿易和國內LNG貿易由於資金短缺暫時停滯，導致公司2018年度、2019年度歸屬於上市公司股東的淨利潤均為負值。面對公司目前經營現狀，公司積極協調借款人並保持溝通，爭取借款人的理解與支持，通過續貸、轉貸等形式，為公司改善資金狀況、恢復公司融資能力贏得時間。
根據青島中天與農行四方支行初步溝通結果，公司第十屆董事會第二十二次會議、2020年第三次臨時股東大會審議通過《關於為青島中天向中國農業銀行股份有限公司青島四方支行申請貸款重新約期業務提供擔保的議案》，公司全資子公司青島中天能源集團股份有限公司向中國農業銀行股份有限公司青島四方支行申請貸款重新約期，借款金額為9900萬元人民幣，期限為60個月，由公司、鄧天洲、黃博、武漢中能燃氣有限公司、湖北合能燃氣有限公司提供連帶責任保證。該議案通過後至今，未能簽署相關合同。
近日，青島中天及保證人收到農行四方支行《債務逾期催收通知書》《貸款到期通知書》等資料，請青島中天立即歸還借款本金共計6900萬元人民幣，利息共計90.06萬元人民幣，並請公司、武漢中能燃氣有限公司、湖北合能燃氣有限公司承擔保證責任。
因債務逾期，公司及子公司面臨需支付相關違約金、滯納金和罰息等情況，進而導致公司財務費用增加。債務逾期事項會導致公司融資能力下降，加劇公司的資金緊張狀況，對部分業務造成一定的影響。公司存在因債務逾期面臨訴訟仲裁、銀行賬户被凍結、資產被查封等風險，可能對日常生產經營造成一定的影響。
