龍蟠科技(603906.SH)：公司未進入氫能源及燃料電池的生產領域
格隆匯6月8日丨龍蟠科技(603906.SH)公佈，公司股票於2020年6月3日、6月4日、6月5日連續3個交易日內日收盤價格漲幅偏離值累計超過20%，6月8日再度漲停。近期公司股價漲幅較大，現對有關事項和風險提示説明如下：
1、公司目前生產經營穩定，主營業務未發生變化
公司主營業務為潤滑油等相關產品，2019年度潤滑油銷售收入為76,234.35萬元，佔2019年度公司營業收入的佔比為44.50%，公司未進入氫能源及燃料電池的生產領域，敬請廣大投資者注意投資風險。
2、公司控股股東和實際控制人目前質押比例較高
公司控股股東和實際控制人石俊峯、實際控制人朱香蘭及其一致行動人南京貝利投資中心(有限合夥)合計持有公司股份比例為61.97%，已質押的股份佔其所持股份比例為66.38%，佔公司總股本的比例為41.14%，敬請投資者注意投資風險。
3、公司目前可轉債純債溢價率較高
截止2020年6月8日，公司可轉債收盤價格為136.98元/張，純債溢價率較高，為70.63%，敬請投資者注意交易風險。
4、公司控股股東近期有減持可轉債的行為
公司於2020年4月23日向社會公開發行了400萬張可轉換公司債券，發行總額4億元，公司可轉換公司債券於2020年5月19日在上海證券交易所掛牌上市。其中控股股東和實際控制人石俊峯、實際控制人朱香蘭及其一致行動人南京貝利投資中心(有限合夥)配售的龍蟠轉債數量佔公司發行總量的比例為61.52%。截止本公告披露之日，公司控股股東和實際控制人持有的可轉債數量佔發行總量的比例為11.51%。後續控股股東關於可轉債的減持若到達披露的規則，公司將及時披露相關減持情況，敬請投資者注意投資風險。
5、公司於2020年4月30日與中國科學院大連化學物理研究所共同簽署了《聯合實驗室戰略合作協議》，本協議為戰略合作協議，對公司2020年經營業績不構成較大影響。且公司與大連化物所聯合成立的實驗室，與公司主營業務相比，相當於一個較新的行業，公司並無相關運作經驗。實驗室能否達到預期效果，科研成果的市場需求是否與預期一致，存在較大不確定性。不排除經協議雙方共同論證，因合作條件未成熟或雙方就具體合作事宜未達成一致等原因終止上述協議的情況。因此，存在不確定性。
對於新項目，公司尚未向政府相關部門報批，也未取得相關行業准入證明。且公司目前尚未有相關專業人才的儲備，後續技術轉讓方會協助公司進行專業人才的培養，培養結果存在不確定性，敬請廣大投資者注意投資風險。
6、有媒體傳聞“燃料電池冷卻系統的冷卻液，90%以上都由龍蟠科技供應”，經公司核實，上述數據不實。2020年一季度，公司銷售給上述相關廠家的冷卻液產品的銷售額為2.01萬元，整體銷售佔比較小，對公司影響不大，公司目前90%以上的冷卻液產品還是供應給傳統燃油車使用，敬請廣大投資者注意投資風險。
7、公司股票近期漲幅較大，市盈率高於同行業上市公司
公司股價近期波動幅度較大，根據萬德資訊數據顯示，截止2020年6月8日，公司動態市盈率為34.13倍，高於石油化工行業中位值28.62倍，敬請投資者注意二級市場交易風險，理性決策，注意投資風險。
