越南製造加工出口(00422.HK)獲控股股東溢價163.2%提私有化要約 8日復牌
格隆匯6月5日丨越南製造加工出口(00422.HK)公佈，於2020年5月26日，要約人SY International Ltd（為公司控股股東）要求董事會提呈該建議，當中將涉及實施私有化計劃以向計劃股東支付註銷價註銷及剔除計劃股份，以及撤回公司股份於聯交所的上市地位。該建議將根據公司法第86條以協議安排方式進行。
所註銷及剔除的每股計劃股份的註銷價0.45港元，較5月26日收市價每股0.171港元溢價約163.2%。
據悉，要約人為於薩摩亞註冊成立的有限公司，主要從事投資控股業務。要約人為三陽直接全資附屬公司，三陽為一家於台灣註冊成立的有限公司，自1996年7月29日起在台灣證券交易所上市，股份代號為2206。三陽連同其附屬公司於機車及汽車行業已逾60年經驗，主要從事製造機車、汽車、卡車及相關零件。於公告日期，大洋投資有限公司、川原投資有限公司及百科投資有限公司分別持有三陽約7.71%、5.55%及5.18%權益。
於公告日期，大洋投資有限公司由許調謀個人全資擁有；川原投資有限公司由王國億個人全資擁有；及百科投資有限公司由張文隆個人全資擁有。於公告日期，三陽並無控股股東。於公告日期，要約人持有公司6.09億股股份，相當於公司已發行股本約67.07%。
公司稱，股份流通性於過去一段長時間內一直處於較低水平。股份交易流通性低可令股東難以在不對公司股價造成不利影響的情況下進行場內出售。由於股份交易缺乏流通性及股份價格於近年的整體持續下跌趨勢，公司難以透過股本融資籌集資金，而要約人認為該狀況於不久將來不太可能顯著改善。因此，要約人認為再無必要投入維持公司上市地位所需的行政及合規成本以及管理資源。
於實施該建議後，公司可無需承受作為公眾上市公司所需承受的市場預期及股價波動壓力。公司管理層亦可將本來需用於處理行政、合規及其他上市相關事宜的資源投入到集團的業務營運。
此外，公司股票將於2020年6月8日復牌。
