中國智能集團(00395.HK)與華康生物醫學(08622.HK)就智能創力訂立股東協議
格隆匯6月3日丨中國智能集團(00395.HK)及華康生物醫學(08622.HK)聯合公佈，於2020年6月3日，智能的全資附屬公司Forever Triumph、華康的全資附屬公司Nutronic Biomedical與智能創力有限公司("智能創力"，一間由Forever Triumph及Nutronic Biomedical分別持有51 %及49 %權益的公司，以履行股東協議項下擬進行的擬定合作 )就智能創力訂立股東協議。
根據股東協議，智能創力的已發行股本為10萬港元，由Forever Triumph及Nutronic Biomedical共同持有分別51%及49%權益。此外，股東協議的訂約方應促成智能創力根據中國法律以人民幣100萬元的擬定實繳股本在上海成立及註冊成立外商獨資企業，作為智能創力的全資附屬公司。已協定外商獨資企業的所有必要的實繳股本將由Forever Triumph及Nutronic Biomedical根據彼等各自於智能創力的股權出資。智能創力為智能的附屬公司，其財務業績將併入智能之賬目。
智能及華康對智能創力及外商獨資企業的共同投資乃旨在( 其中包括 )透過跨境電子商務平台及/或其他( 線上、線下或其他形式 )平台及渠道於中國及香港開展、發展、經營及以其他方式從事有關( 其中包括 )銷售、營銷及分銷產品系列及訂約方可能不時協定之其他新產品的業務。
預期於智能創力及外商獨資企業的聯合投資將彙集各訂約方的資源，為擬定合作帶來協同效應，以在中國及香港為產品系列( 即Nutronic Healthcare所供應之若干產品系列，包括Ferti系列、Concep Care系列及Natal Care系列( 男女性生育補充品 ))創造銷售及營銷平台，並於適當時候擴展至其他產品業務。
