廣宇發展(000537.SZ)所屬公司申請發行商業地產抵押資產證券化(CMBS)產品
格隆匯6月3日丨廣宇發展(000537.SZ)公佈,2020年6月2日,公司第九屆董事會第四十九次會議審議通過了《關於所屬公司申請發行商業地產抵押資產證券化(CMBS)產品的議案》。本次資產支持專項計劃擬申請發行總額不超過人民幣6.85億元,本次申請發行CMBS的期限不超過12年(含12年,最終以批覆的期限為準),採用3+3+3+3模式,每3年設一次開放期,附票面利率調整權、投資者回售權。
公司所屬公司重慶魯能物業服務有限公司(以下簡稱“重慶魯能物業”)作為原始權益人,向公司所屬公司北京順義新城建設開發有限公司(以下簡稱“北京順義公司”)、宜賓魯能開發(集團)有限公司(以下簡稱“宜賓公司”)按估值比例分別發放合計不超過人民幣6.85億元的借款,並以該借款債權委託信託機構設立財產權信託。同時將北京順義新城美麗匯購物中心和宜賓皇冠假日酒店(以下簡稱“標的物業”)抵押至信託公司,並將標的物業現金流作為還款來源質押至信託公司。
由計劃管理人設立資產支持專項計劃募集資金,收購重慶魯能物業(原始權益人)享有的信託受益權(基礎資產)。
在CMBS項目存續期內,由北京順義公司及其商業管理分公司(以下簡稱“商管分公司”)和宜賓公司及其皇冠假日酒店分公司(以下簡稱“酒店分公司”)作為資產服務機構,負責標的物業的管理及現金流的歸集,由資產支持專項計劃管理人協同託管銀行進行專項計劃的分配。
順義新城美麗匯購物中心項目為公司全資子公司北京順義公司所有,建設用地2.67萬平方米,規劃總建築面積約5.09萬平方米。項目位於順義新城馬坡組團東北部核心區,距市中心約40公里。
宜賓皇冠假日酒店為公司全資子公司宜賓公司所有,位於宜賓市敍州區,佔地面積21.05畝,酒店總建築面積4.40萬平方米。作為宜賓市區第一家國際五星級酒店,主要客羣為高端商務及休閒客羣。酒店於2015年10月18日正式開業,目前委託六洲酒店管理(上海)有限公司進行經營管理。
