齊魯高速(01576.HK)擬22.9億元收購山東省高速公路收費權
格隆匯6月2日丨齊魯高速(01576.HK)公佈，於2020年6月2日，齊魯交通（作為轉讓方）與公司（作為受讓方）訂立轉讓協議，據此，公司將向齊魯交通收購標的高速公路（德上高速（聊城至範縣段）及莘南高速）收費權，代價為人民幣22.90億元，其中人民幣9.42億元將利用全球發售所得款項撥付。
同時，作為轉讓權益不可分割的一部分，齊魯交通將自完成日起將標的高速公路沿線用於管理、養護、應急等合共41處房屋（總建築面積為約14,008.27平方米）移交給公司。公司於完成後將取得標的高速公路的收費權，但由於標的高速公路的所有權仍歸國家所有，於轉讓期限屆滿後，標的高速公路應由國家無償收回。
根據轉讓協議的約定，公司同意承接的盤入負債包括(i)貸款銀行向齊魯交通提供標的高速公路建設項目融資中的合共約人民幣17.26億元未償還貸款（現時年利率為4.9%）；及(ii)齊魯交通向標的高速公路建設項目提供合共約人民幣5.7億元的未償還貸款（現時年利率為4.75%）。公司將利用本集團內部資源及銀行貸款償還盤入負債。
此外，公司將於完成日或之前與齊魯交通及各貸款銀行訂立債務轉讓協議，據此齊魯交通將於生效日起把與貸款銀行訂立的標的高速公路建設項目銀行融資合同項下的權利及義務轉讓予該公司，其後將由公司負責償還有關銀行融資的本金及利息。緊隨基準日後債務轉讓協議項下將予償還的本金及利息總額分別為人民幣17.26億元及人民幣3.54億元。
公告稱，公司於2020年6月2日與齊魯交通訂立債務承接協議，據此公司同意自生效日起承接齊魯交通截至基準日對標的高速公路建設項目提供的貸款本金合共人民幣5.7億元，由公司向齊魯交通清償。緊隨基準日後債務承接協議項下須予償還的本金及利息總額分別為人民幣5.7億元及人民幣5081萬元。
董事會認為標的高速公路為優質的高速公路，具有業務價值創造潛力。標的高速公路均位於山東省戰略地理位置，公司能憑藉山東省擁有強大的地理優勢及較高的汽車保有量，加上逾十二年紮根山東省的高速公路運營管理經驗，提升標的高速公路的道路狀況及使用者的出行體驗，吸引更多駕駛者使用標的高速公路。
