西藏天路(600326.SH)：重交再生股東完成公司股票購買
格隆匯6月2日丨西藏天路(600326.SH)公佈，公司於2018年12月6日披露，擬以現金1.40億元收購重慶鹹通乘風實業有限公司(以下簡稱“鹹通乘風”)、陳先勇、嘉興臻勝股權投資基金合夥企業、寧波君潤科勝股權投資合夥企業等四名股東持有的重慶重交再生資源開發股份有限公司(以下簡稱“重交再生”)40%股權並以5.33元/股的價格認購重交再生定向增發的1475萬股股票。本次交易完成後，西藏天路持有重交再生51%的股權，重交再生成為西藏天路的控股子公司。
根據公司與前述轉讓方簽署的《西藏天路與重慶鹹通乘風實業有限公司、陳先勇、嘉興臻勝股權投資基金合夥企業、寧波君潤科勝股權投資合夥企業關於重慶重交再生資源開發股份有限公司之股份轉讓協議》，在鹹通乘風及陳先勇根據相關條款約定收到全部股份轉讓對價後的6個月內，應分別將其完税後股份轉讓對價的50%全部用於購買西藏天路股票並實施完畢，股票購買方式可為二級市場競價交易或大宗交易。西藏天路同意，鹹通乘風及陳先勇在上述限定期限內合計購買西藏天路股票的金額不低於其完税後股份轉讓對價的50%，即代表鹹通乘風及陳先勇履行了上述股票購買義務。在鹹通乘風及陳先勇根據上述條款的約定購買西藏天路股票完畢後，其應分別以書面方式通知西藏天路，並於十五個工作日內向中國證券登記結算公司申請辦理該部分股票的限售登記手續。
鹹通乘風及陳先勇根據上述條款的約定購買的西藏天路股票應按照以下規則分批解鎖：第一期：在業績承諾期第二年的《專項審計報告》出具後解鎖60%；第二期：在業績承諾期第三年的《專項審計報告》出具後解鎖40%。在滿足上述鎖定期的同時，第二期解鎖股份需待鹹通乘風及陳先勇完成業績補償義務(如有)後方能執行解鎖。未經西藏天路書面同意，在上述股票解鎖前，鹹通乘風及陳先勇也不得質押或以其他形式處置所持有的西藏天路的該等股票。
截至2019年12月9日，鹹通乘風及陳先勇已收到全部股份轉讓對價，完税後金額為6765.28萬元。
公司於近日收到鹹通乘風和陳先勇發來的書面通知，截至2020年6月1日，鹹通乘風和陳先勇通過二級市場競價交易形式合計購買502.00萬股公司股票，合計購買金額為3386.34萬元，已超過其合計完税後股份轉讓對價的50%。鹹通乘風和陳先勇前述股票購買行為符合《股份轉讓協議》相關條款的約定。後續鹹通乘風和陳先勇將按照協議約定履行該部分股票的限售義務。
