滇池水務(03768.HK)擬1478.37萬元收購東川國禎100%股權
格隆匯6月2日丨滇池水務(03768.HK)發佈公告，2020年6月2日，公司(作為買方)與雲南國禎環保科技有限公司(作為賣方)及昆明市東川區國禎污水處理有限公司(作為目標公司)簽訂股權轉讓協議，據此，公司同意收購東川國禎100%股權，代價為人民幣1478.37萬元。
東川國禎為一家於中國註冊成立的有限公司，成立於2008年5月13日，註冊資本為人民幣500萬元，其主要經營範圍為環保工程、污水處理工程、生活及工業污水運營，於收購事項前，雲南國禎持有東川國禎100%的股權。東川國禎已獲得雲南省昆明市東川區污水處理廠項目特許經營權。
此外，公司於2020年6月2日與雲南省昆明市東川區人民政府、雲南國禎、東川國禎簽訂了《東川區污水處理廠項目特許四方協議》，各方同意在東川國禎完成轉讓股權予公司後，東川國禎仍依照《東川區污水處理廠項目特許、污水處理服務協議》約定，繼續享有東川區污水處理廠特許經營權。在特許經營期內，東川國禎將按照原協議進行污水處理並收取污水處理費。特許經營期滿後，東川國禎將項目所涉及的資產、利益及技術等全部無償移交東川區人民政府。
同日，東川國禎與東川區人民政府簽訂《東川區污水處理廠項目特許、污水處理服務協議補充協議》，補充協議就東川國禎與東川區人民政府在昆明市東川區污水處理廠深度處理單元項目轉讓－特許經營－移交模式(TOT)下的合作達成一致。根據補充協議，東川區人民政府將轉讓深度處理單元項目予東川國禎進行運營，就此東川國禎需向東川區人民政府支付轉讓價款總計人民幣1992.26萬元，同時東川區人民政府將賦予東川國禎30年的特許經營權，自簽訂補充協議次日起計算，並將東川國禎在原協議項下所享有東川區污水處理廠的特許經營期限延長至與深度處理單元項目特許經營期限相同。特許經營期屆滿後，東川國禎將深度處理單元項目無償移交給東川區人民政府。
