平治信息(300571.SZ)擬定增募資不超10億元 由浙江文投認購
格隆匯6月1日丨平治信息(300571.SZ)公佈，擬非公開發行股票2500萬股，發行股票數量未超過此次發行前公司總股本的30%，發行價為40元/股。
發行對象為浙江文投，發行對象均以現金方式認購。浙江文投已與公司簽署附條件生效的《股份認購協議》。
募集資金總額不超過人民幣10億元，扣除發行費用後的募集資金淨額將全部用於補充流動資金。
2020年6月1日，公司股東郭慶及齊智興投資與浙江文投簽署附有生效條件的《股份轉讓協議》，郭慶同意於無限售之條件具備前提下，依法將其所持上市公司795.15萬股股份(占上市公司總股本的6.3825%)協議轉讓給浙江文投；齊智興投資同意於無限售之條件具備前提下，依法將其所持上市公司358.6248萬股股份(占上市公司總股本的2.8783%)協議轉讓給浙江文投。
同時，自標的股份完成過户登記之日起，郭慶同意無條件、不可撤銷的，將其持有的上市公司全部剩餘股份2385.45萬股股份(佔標的公司總股本19.15%，因轉增、送股等新增的股份自動納入委託範圍)對應的表決權(包括召集權、提案權等非財產性的股東權利)委託給浙江文投行使。
委託表決權的期限為：自標的股份登記至浙江文投名下之日起至下列(1)或(2)或(3)期限中時間先到之日：(1)上市公司此次非公開發行完成之日(即非公開發行的股份登記至浙江文投名下，下同)；(2)浙江文投持有上市公司的表決權超過上市公司總股本的29.90%；(3)雙方協商一致。
此次權益變動後，浙江文投將持有平治信息1153.7748萬股股份，占上市公司總股本的9.2608%；同時擁有上市公司2385.45萬股股份(佔總股本的19.1452%)對應的表決權。浙江文投擁有表決權的股份數量合計為3539.2248萬股，占上市公司總股本的28.406%。同時，上市公司董事會換屆完成且浙江文投提名的董事占上市公司董事會半數以上席位之後，上市公司控股股東將變更為浙江文投，上市公司實際控制人將變更為浙江省財政廳。
