中國信達(01359.HK):淮河能源終止吸收合併淮礦集團
格隆匯6月1日丨中國信達(01359.HK)公佈,有關淮河能源採取向現有股東發行股份及支付現金相結合的方式吸收合併淮礦集團。公司於2020年5月31日收到淮礦集團有關此次吸收合併的函件,當中説明因淮礦集團下屬企業部分生產經營性資產涉及的土地、房屋等相關權屬證明文件未能如期取得,且預計在短期內難以解決,根據相關中國法律法規,上述事項會對此次吸收合併構成障礙,短期內無法繼續推動,擬終止此次吸收合併。
