平治信息(300571.SZ)：公司控股股東將變更為浙江文投 實控人將變更為浙江省財政廳 明起復牌
格隆匯6月1日丨平治信息(300571.SZ)公佈，公司於2020年6月1日收到公司控股股東郭慶及其關聯方齊智興投資的通知，2020年6月1日，郭慶、齊智興投資與浙江文投簽署了《股份轉讓協議》，郭慶同日與浙江文投簽署了《表決權委託協議》，該事項可能導致公司控制權發生變更。
公司控股股東郭慶擬轉讓其持有的上市公司795.15萬股股份(佔公司總股本的6.38%)、控股股東關聯方齊智興投資擬轉讓其持有的上市公司358.6248萬股股份(佔公司總股本的2.88%)，合計擬轉讓持有的上市公司1153.7748萬股股份給浙江文投。此次協議轉讓的每股轉讓價格為48.03元。
同時，公司控股股東郭慶同日與浙江文投簽署了《表決權委託協議》，目標公司股份完成過户登記之日起，郭慶同意無條件、不可撤銷的，將其持有的目標公司全部剩餘股份2385.45萬股股份(佔目標公司總股本19.15%，因轉增、送股等新增的股份自動納入委託範圍)對應的表決權委託給浙江文投行使，委託期限自目標公司股份登記至浙江文投名下之日(以浙江文投收到證登公司出具的過户登記確認文件或在浙江文投證券賬户可以查詢到目標公司股份之日)起至下列(1)或(2)或(3)期限中時間先到之日：(1)目標公司2020年非公開發行A股股票事項完成之日(即此次非公開發行新增的股份登記至浙江文投名下，下同)；(2)浙江文投持有標的公司的表決權超過目標公司總股本的29.90%；(3)雙方協商一致。
基於此，若此次協議轉讓順利實施完成，浙江文投將持有公司9.26%的股份，能夠行使的投票表決權佔公司總股份的28.41%，同時浙江文投將改組公司董事會。該事項將導致公司控制權發生變更，公司控股股東將變更為浙江文投，公司實際控制人將變更為浙江省財政廳。
經向深圳證券交易所申請，公司股票自2020年6月2日(星期二)開市起復牌。
