*ST金宇(000803.SZ)：擬與關聯方簽訂日常經營關聯交易協議
格隆匯6月1日丨*ST金宇(000803.SZ)公佈，公司擬與吉林北控能慧環保有限公司(“吉林北控”)簽訂《吉林電力股份有限公司白城發電公司電鍋爐調峯輔助服務項目成套系統集成設備採購合同》，合同總金額擬定為13245.10萬元。公司為吉林北控提供白城發電公司電鍋爐調峯輔助服務項目成套系統集成設備，如合同履行期限內吉林北控將本項目設備採購部分分包給第三方的，吉林北控將指定該第三方向公司採購本合同範圍內的設備。
公司子公司四川北控聚慧物聯網科技有限公司(“北控聚慧”)擬與陽泉北控能慧新能源有限公司(“陽泉北控”)簽訂《D-POWER工業物聯網平台軟件產品購銷合同》、《諮詢服務協議》，由北控聚慧向陽泉北控提供自主知識產權產品D-POWER工業物聯網平台，並向其河坡發電公司上大壓小2×350MW超臨界熱電聯產機組1號機組電鍋爐調峯改造合同能源管理項目提供“數字化電蓄熱調峯項目”流程域診斷、物流傳輸模式、信息化集成規劃與架構、自動化規劃等方面的諮詢服務，合同金額分別為軟件產品採購費245萬元整，諮詢服務費80萬元整。
公司擬與哈爾濱廣瀚動力技術發展有限公司(“哈爾濱廣瀚”)簽訂《產品成套設備採購合同》，向其提供“為山西河坡發電有限責任公司上大壓小2×350MW超臨界熱電聯產機組1號機組電鍋爐調峯改造項目供應高壓電極鍋爐、220kV變壓器及220kV組合電器設備”成套設備和相關的服務，合同總金額為2770萬元。
吉林北控、陽泉北控實際控制人均為北控清潔能源集團有限公司，根據《中華人民共和國公司法》、《深圳證券交易所股票上市規則》以及《公司章程》等相關規定，吉林北控、陽泉北控均為公司的關聯方，上述交易構成關聯交易。哈爾濱廣瀚控股股東為中國船舶重工集團動力股份有限公司(“中國動力”)，實際控制人為國務院國資委，其與公司在股權關係上不存在關聯關係。但本次交易的產品設備是用於山西河坡發電有限責任公司上大壓小2×350MW超臨界熱電聯產機組1號機組電鍋爐調峯改造項目，在該項目上哈爾濱廣瀚與公司關聯方陽泉北控為承包人與發包人的關係。公司基於謹慎性原則，根據《深圳證券交易所股票上市規則》，擬將本次交易視同關聯交易，履行相應審議程序。
