聯合光電(300691.SZ)擬推900萬份股票期權與限制性股票激勵計劃
格隆匯6月1日丨聯合光電(300691.SZ)披露2020年股票期權與限制性股票激勵計劃(草案)，該激勵計劃擬向激勵對象授予權益總計900萬份，涉及的標的股票種類為人民幣Ａ股普通股，佔該激勵計劃公告時公司股本總額約2.25億股的4.00%。其中首次授予720萬股，佔該計劃公告時公司股本總額約2.25億股的3.20%；預留180萬股，佔該計劃擬授出權益總數的20%，佔該計劃公告時公司股本總額約2.25億股的0.80%。具體如下：
股票期權激勵計劃：公司擬向激勵對象授予675萬份股票期權，佔該計劃公告時公司股本總額約2.25億股的3.00%，其中首次授予540萬份股票期權，佔該計劃公告時公司股本總額約2.25億股的2.40%；預留135萬份股票期權，佔該計劃擬授出股票期權總數的20.00%，佔該計劃公告時公司股本總額約2.25億股的0.60%。在滿足行權條件的情況下，激勵對象獲授的每一份股票期權擁有在有效期內以行權價格購買1股公司股票的權利。
限制性股票激勵計劃：公司擬向激勵對象授予225萬股公司限制性股票，佔該計劃公告時公司股本總額約2.25億股的1.00%，其中首次授予180萬股，佔該計劃公告時公司股本總額約2.25億股的0.80%；預留45萬股，佔該計劃擬授出限制性股票總數的20.00%，佔該計劃公告時公司股本總額約2.25億股的0.20%。
該計劃首次授予股票期權的行權價格為15.30元/股，首次授予限制性股票的授予價格為7.65元/股。
該激勵計劃授予的激勵對象為公司高級管理人員、核心管理人員及核心技術(業務)人員，以及對公司經營業績和持續發展有直接影響的管理和技術骨幹，不包括獨立董事、監事和單獨或合計持有公司5%以上股份的股東或實際控制人及其配偶、父母、子女。首批授予激勵對象總人數共計173人，約佔公司全部在職員工人數1253人(截至2019年12月31日)的13.81%。預留授予部分的激勵對象由公司董事會自股東大會審議通過該激勵計劃後12個月內，參照首批授予的標準確定。
