普利特(002324.SZ)：重大資產重組相關財務數據有效期延期至6月30日
格隆匯6月1日丨普利特(002324.SZ)公佈，公司擬以發行股份、可轉換債券及支付現金方式收購啟東金美化學有限公司、福建帝盛科技有限公司、杭州帝盛進出口有限公司、寧波保税區帝凱貿易有限公司100%股權，並擬以支付現金方式收購杭州欣陽精細化工有限公司100%股權並募集配套資金暨關聯交易(以下簡稱“本次重組”)。本次重組標的公司的審計報告財務資料有效期截止日為2020年3月31日。
受突發新冠肺炎疫情及相關防控工作的影響，各相關單位均採取了一定措施，減少人員流動及聚集，本次重組加期審計工作無法按期開展。
根據《中國人民銀行財政部銀保監會證監會外匯局關於進一步強化金融支持防控新型冠狀病毒感染肺炎疫情的通知》之相關規定：“(二十一)適當放寬資本市場相關業務辦理時限。適當延長上市公司併購重組行政許可財務資料有效期和重組預案披露後發佈召開股東大會通知的時限。如因受疫情影響確實不能按期更新財務資料或發出股東大會通知的，公司可在充分披露疫情對本次重組的具體影響後，申請財務資料有效期延長或股東大會通知時間延期1個月，最多可申請延期3次……”。為更好推進財務數據的更新工作，公司特申請在前次財務數據有效期延期到期(即2020年5月31日)後，將本次重大資產重組項目相關財務數據有效期再延長1個月，即有效期申請延期至2020年6月30日。
本次重組標的公司主要位於浙江、江蘇、福建等地，在疫情防控期間，現場辦公受限，標的公司員工及中介機構人員通過遠程辦公形式，推進財務資料更新工作，但是現場及外部核查程序無法得到有效執行。預計疫情會對公司本次重組的財務資料更新工作造成一定影響。截止申請日，其財務狀況和經營成果未發生重大變動，故已披露的經審計財務數據、評估報告具有延續性和可參考性。
本次申請財務資料有效期延長後，公司將竭盡全力與各中介機構落實相關工作，繼續積極推進本次重組相關工作。
