網宿科技(300017.SZ)擬8億元收購創而新(北京)教育科技100%股份
格隆匯5月31日丨網宿科技(300017.SZ)披露預案，公司擬通過發行股份及支付現金的方式購買創而新(北京)教育科技有限公司(“創而新”)100%股份。經交易各方協商，此次交易作價暫定8億元，其中，以股份方式支付此次交易作價的60%，以現金方式支付此次交易作價的40%。此次交易完成後，創而新將成為公司的全資子公司。
另外，公司擬向不超過35名(含35名)符合條件的特定投資者以非公開發行股票的形式募集配套資金。擬募集配套資金的總額不超過4.8億元，不超過發行股份購買資產交易價格的100%，且發行股份數量不超過此次交易前上市公司總股本的30%。此次募集配套資金擬用於支付此次交易中的現金對價、中介機構費用、交易税費等相關併購費用、補充上市公司及標的公司流動資金、償還債務、標的公司的項目建設等。
嘉興知而新承諾標的公司於業績承諾期內各會計年度實現的淨利潤（以合併報表中扣除非經常性損益後歸屬於母公司股東的淨利潤為計算依據）以符合《證券法》規定的資產評估機構為本次交易按照標的公司全部股東權益出具的《資產評估報告》中所預測的淨利潤為基礎確定，且2020年、2021年、2022年分別不低於4000萬元、8000萬元及18000萬元。
創而新是國內較為領先的教育信息化解決方案提供商，通過此次交易，網宿科技將獲得進一步深入瞭解教育信息化業態發展、把握特定應用場景下對CDN、雲安全、IDC等網絡基礎服務的定製化需求的重要抓手，有利於網宿科技更好的預判下游需求市場的變化趨勢，更深刻的理解教育信息化行業乃至其他更豐富的信息化場景下客户的專業化、定製化需求，並對市場需求變化作出快速反應，進而始終把握住具備高增長潛力的客户羣體，維持網宿科技主營業務持續平穩向好的發展勢頭。
