睿見教育(06068.HK)擬向中國平安保險海外發行不超1億港元轉換股份
格隆匯5月29日丨睿見教育(06068.HK)公佈，有關公司(作為借款人)與中國平安保險海外間接全資附屬公司PA Chokmah(作為貸款人)及執行董事兼控股股東劉學斌(作為擔保人)訂立有關由PA Chokmah向公司提供本金金額高達5億港元的該貸款及日期為2018年6月22日的信貸協議。截至公告日期，該貸款的尚未償還金額為5億港元及累計未償還利息則為1300萬港元。
就信貸協議而言，於2018年6月22日，劉學斌亦與PA Chokmah訂立認沽期權契據，據此，其中包括，劉學斌有條件同意向PA Chokmah授出一項要求劉學斌購買部分或所有轉換股份的權利。
在滿足轉換條件及並未發生任何轉換限制事件的前提下，2億港元(即該貸款的40%)將於到期日期被強制轉換成公司股份，而PA Chokmah可於酌情轉換期間選擇將最多1億港元(即該貸款的20%)轉換成公司股份，作為根據信貸協議條款償還該貸款的一部分。
由於到期日期將為2020年7月16日，為符合轉換條件，公司將召開股東特別大會，以獲得獨立股東對於授予特定授權以配發及發行部分或全部轉換股份的批准。
公告稱，按學生人數計量，集團是華南營辦優質民辦中小學的主要民辦教育集團之一。集團的增長計劃包括擴充學校的容量、潛在收購當地民辦學校及發展更多新建學校。尤其是，集團將投放更多資源於大灣區擴充。
中國平安保險海外是平安集團主要的海外投資平台，於多個行業均有實際的投資往績記錄。憑藉深厚的行業知識，中國平安保險海外相信中國民辦中小學教育是其中一個前景亮麗的業務，具備快速發展的潛力，公眾認受性高及強大的現金流。中國平安保險海外亦相信，大灣區的發展將促進優質民辦中小學教育的需求，因此，集團憑藉其信譽優良的學校品牌，將受惠於大灣區的發展。
董事相信，待根據信貸協議條款轉換部分貸款時向PA Chokmah發行轉換股份，可擴闊公司股東基礎，將使公司毋須動用公司現有財務資源以清償部分貸款，可降低集團的資產負債水平及加強財務狀況。
