旭輝控股集團(00884.HK)擬7.83億港元收購永升5%股份並獲委託行使23.64%投票權
格隆匯5月29日丨旭輝控股集團(00884.HK)宣佈，於2020年6月29日，公司間接全資附屬公司Spectron與Elite Force及諸位林先生訂立股份買賣協議，據此，Spectron同意收購而Elite Force同意出售7682萬股永升股份(佔永升生活已發行股本總數5%)，代價為7.83億港元。
同日，Spectron亦與Elite Force及諸位林先生訂立投票權委託協議，據此，Elite Force已不可撤銷地及無條件委託Spectron行使Elite Force於永升生活直接持有3.63億股永升股份(佔永升生活已發行股本總數約23.64%)的投票權，自2020年7月1日起生效。Elite Force將繼續作為唯一合法實益擁有人擁有3.63億股受託股份，而除投票權外，Elite Force將繼續有權獲得受託股份所附帶的股息、分派以及所有其他權利及利益。投票權委託協議經簽訂後已經對訂約方具有約束力及其項下之委託投票安排將自2020年7月1日起生效，且並無明確期限。根據委託投票安排，訂約各方毋須支付代價。
Elite Force受林中、林偉及林峯控制，彼等分別於EliteForce擁有50%、25%及25%股權。於公告日期，Elite Force直接擁有4.40億股永升股份，佔永升生活已發行股份總數約28.64%，該公司為一間於聯交所主板上市的公司。
於公告日期，Spectron持有3.30億股永升股份，佔永升生活已發行股份總數約21.48%。於股份收購事項完成後及於委託投票安排生效後，Spectron將有權行使或控制行使合共7.70億股永升股份的投票權，故Spectron有權於永升生活股東大會上行使或控制行使約50.12%投票權(假設永升生活之已發行股本自公告日期至2020年7月1日(即委託投票安排的生效日期)並無其他變動)。目前，Spectron於永升生活持有的21.48%權益於公司綜合財務報表內確認為於聯營公司的權益。於委託投票安排生效後，永升將根據適用會計原則作為公司附屬公司進行會計處理及於本公司綜合財務報表綜合入賬。
