北京文化(000802.SZ)收到股東臨時提案：涉及罷免董事，更正2018年度及2019年財報，指令監事會起訴追究宋歌、張雲龍等侵佔公司資金、損害公司利益的行為
格隆匯5月29日丨北京文化(000802.SZ)公佈，公司於2020年5月25日收到公司股東西藏金寶藏文化傳媒有限公司(“金寶藏”)《關於提議增加北京京西文化旅遊股份有限公司2020年第二次臨時股東大會臨時提案的函》，金寶藏提議將下列臨時提案提交公司定於2020年6月5日召開的2020年第二次臨時股東大會審議：
提案一：罷免張雲龍董事職務；
提案二：罷免宋歌董事職務；
提案三：增選婁曉曦擔任董事職務；
提案四：解聘中興華會計師事務所(特殊普通合夥)；
提案五：更正2018年度、2019年度財務報表，另行聘用會計師事務所對2018年度、2019年度財務報表進行審計；
提案六：撤銷董事會作出的《關於轉讓世紀夥伴100%股權的議案》；
提案七：指令監事會起訴追究宋歌、張雲龍、賈園波損害公司利益的行為；
提案八：指令監事會起訴追究宋歌、張雲龍、賈園波以及浙江海瑞影視文化有限公司侵佔公司資金，損害公司利益的行為。
公司收到《提案函》後進行了認真審閲，發現函件落款印鑑與股東前期留存文件蓋章印鑑差異較大，同時金寶藏未按照《主板信息披露業務備忘錄第12號——股東大會相關事項》規定的“股東提出臨時提案的，應當向召集人提供持有公司百分之三以上股份的證明文件”提供證明文件。公司董事會於2020年5月25日向金寶藏書面出具了《關於3%以上股東增加臨時提案的回函》，要求金寶藏就《提案函》中印鑑真實性出具相關證明文件及股東身份證明文件。公司於2020年5月26日收到金寶藏電子郵件答覆，金寶藏提供了公章遺失聲明、營業執照複印件蓋章版等電子證明文件。
根據《上市公司股東大會規則》《主板信息披露業務備忘錄第12號——股東大會相關事項》《公司章程》的規定，公司對提案人資格、提案內容進行審核，認為：截至報告披露日，金寶藏持有公司股份4608.2118萬股，佔公司總股本的6.43%，提案人資格、提案程序符合法律法規、《上市公司股東大會規則》和《公司章程》的有關規定；經核查臨時提案內容，公司認為提案一、提案二存在諸多表述和指稱並無實據，且與提案三內容自相矛盾的情形。公司董事會於2020年5月27日向金寶藏書面出具了《關於3%以上股東增加臨時提案的回函》，要求金寶藏在消除提案內容矛盾之處或完善證據/資料後，及時向公司董事會提出真實、合法、有效的提案。2020年5月29日，公司以電子郵件和電話的形式，告知金寶藏儘快補正材料，對方電話迴應目前沒有補正材料提交。
截至公告披露日，公司尚未收到金寶藏相關回函或補正材料。為了確保公司股東特別是中小投資者恰當、有效地行使股東權利，避免被有關臨時提案誤導，公司提醒股東：臨時提案的內容應當符合《上市公司股東大會規則》《主板信息披露業務備忘錄第12號——股東大會相關事項》《公司章程》的要求，並應當在《公司章程》規定的期限內送達公司董事會。
