地素時尚(603587.SH)：擬合作設立基金管理公司併發起設立新興消費基金
格隆匯5月29日丨地素時尚(603587.SH)公佈，為通過與專業投資團隊的合作，藉助專業投資團隊的專業能力，發掘優質項目資源，促進公司主業升級，優化公司產業結構，進一步深化產業及資本的深度融合，公司、金浦產業投資基金管理有限公司(“金浦投資”)擬先行簽署《金浦地素新興消費基金(有限合夥)(籌)之合作框架協議》(“《合作框架協議》”)和《金浦地素新興消費基金(有限合夥)(籌)私募備忘錄》(“《備忘錄》”)，約定公司全資子公司瑞宏投資擬與金浦投資、上海佰因外企業管理中心(有限合夥)(“佰因外”，最終名稱以工商核准登記為準，為新興消費基金之專業管理團隊的持股和跟投平台)共同出資設立金浦地素，總認繳出資額為人民幣500萬元，其中瑞宏投資、金浦投資及佰因外分別認繳出資人民幣100萬元、155萬元及245萬元，分別持有金浦地素20%、31%、49%的股權。
金浦地素、佰因外作為普通合夥人(其中金浦地素為執行事務合夥人)，公司或其指定全資子公司作為有限合夥人共同出資設立新興消費基金，上海金浦創新消費股權投資基金管理有限公司(“金浦消費管理公司”)作為基金管理人，新興消費基金目標規模為人民幣5億元，其中，金浦地素認繳出資人民幣10萬元，持有新興消費基金0.02%的份額；佰因外認繳出資500萬元，持有新興消費基金1%的份額；公司或其指定全資子公司認繳出資人民幣1.5億元，持有新興消費基金30%的份額，各方最終實際出資比例視新興消費基金最終募集情況會有所調整。
值得注意的是，公司風險提示：1、尚未正式簽署相關協議或其他正式合夥協議，待董事會審議通過後正式簽署，正式實施尚存在不確定性。並且《合作框架協議》僅為公司與金浦投資關於此次合作的初步約定，相關條款尚存在不確定性。2、瑞宏投資、金浦地素及新興消費基金目前處於籌備階段，尚需工商等相關政府部門審核批准，能否成功設立存在不確定性。3、此次投資具有投資週期長、流動性低的特點，投資運作過程中將受宏觀經濟、行業週期、投資標的、公司經營管理、交易方案等多種因素影響，存在投資失敗或虧損等不能實現預期收益的風險。4、主要投資領域與上市公司主營業務具有協同性，公司承擔的投資風險敞口規模不超過公司出資額，根據投資規模來看，此次投資不會影響公司當期現金流的正常運轉，不會對公司當期財務狀況和經營成果產生重大影響。
