*ST商城(600306.SH)：重組方案仍在謹慎籌劃論證 將繼續停牌
格隆匯5月29日丨*ST商城(600306.SH)公告，公司正在籌劃重大資產重組事項(以下簡稱“本次交易”、“本次重組”)，因有關事項尚存不確定性，為了維護投資者利益，避免對公司股價造成重大影響，根據上海證券交易所的相關規定，經申請，公司股票自2020年5月25日開市起停牌，停牌時間不超過10個交易日。本次交易中，上市公司擬通過產權交易所公開掛牌出售其持有的瀋陽鐵西百貨大樓有限公司99.82%股權和瀋陽商業城百貨有限公司100%股權。同時，上市公司擬向茂業(中國)投資有限公司以發行股份購買資產的方式，購買其持有的崇德物業管理(深圳)有限公司100%股權。本次交易構成重大資產重組，構成關聯交易，本次交易不會導致公司實際控制人發生變更，不構成重組上市。
本次重組進展情況截至本公告披露之日，公司及有關各方正在積極推進本次重組的相關工作，具體方案仍在謹慎籌劃論證中。因相關事項尚存在不確定性，為保證信息披露公平，維護投資者利益，避免公司股價異常波動，根據《上海證券交易所股票上市規則》及《上海證券交易所上市公司籌劃重大事項停復牌業務指引》等相關規定，公司股票自2020年5月25日開市起停牌，停牌時間不超過10個交易日。停牌期間，公司將根據相關事項的進展情況及時履行信息披露義務。2目前，公司正在根據《公開發行證券的公司信息披露內容與格式準則第26號——上市公司重大資產重組》等規定編制重組方案，預計將於停牌期限屆滿前披露經公司董事會審議通過的重組預案，並申請公司股票復牌。
