上海天洋(603330.SH)擬8800萬元收購江蘇德法瑞100%股權
格隆匯5月28日丨上海天洋(603330.SH)公佈，公司擬以評估值8809.87萬元為參考，以自有或自籌資金方式收購李哲龍及李明健持有的江蘇德法瑞共計100%股權，合計收購金額為8800萬元。其中收購李哲龍持有的江蘇德法瑞51%股權，交易金額為4488萬元；收購李明健持有的江蘇德法瑞49%股權，交易金額為4312萬元。公司於2020年5月28日在上海市與轉讓方分別簽訂附生效條件的《股權轉讓協議》，《股權轉讓協議》經公司董事會及股東大會審議通過後生效。
江蘇德法瑞新材料科技有限公司經營範圍：納米材料的研發、製造、銷售；汽車內飾面料、窗簾布、複合布、服裝面料加工、銷售；自營和代理各類商品及技術的進出口業務(國家禁止或涉及行政審批的貨物和技術進出口除外)。(依法須經批准的項目，經相關部門批准後方可開展經營活動)
江蘇德法瑞成立於 2017年7月19日，在海安經濟技術開發區徵地117720平方米，新建高檔新型環保牆布及產業用功能性面料生產項目，主要產品為牆布、功能性面料。
為進一步實現公司的戰略發展目標，拓展公司牆布產品市場，增強公司未來盈利能力和可持續發展能力，公司擬以現金方式取得江蘇德法瑞股權。公司利用環保的熱熔粘接專利技術研發了新產品四層結構熱熔網膜無縫牆布，近年來銷售收入不斷增加，江蘇德法瑞系牆布、窗簾布等紡織品的專業供應商。此次交易旨在利用上海天洋及江蘇德法瑞的技術優勢、生產製造優勢，實現資源互補、優勢協同。此次收購完成後，將提升上海天洋在牆面裝飾領域的體系化能力、產品及配套的綜合服務能力。
此次公司收購江蘇德法瑞能夠增強公司開展業務的協同效應，交易符合商業邏輯，收購價格合理、公允，不存在損害公司以及其他股東特別是中小股東利益的情形。此次收購存在違反相關法律法規及規範性文件規定的情形，此次收購完成後，公司的業務拓展能力將進一步提升，符合保護中小股東利益的原則。
