上海天洋(603330.SH)：延長收購張利文、賀國新持有煙台信友剩餘13.04%股權期限
格隆匯5月28日丨上海天洋(603330.SH)公佈，公司於2020年4月27日與張利文、賀國新及煙台信友共同簽署了《關於煙台信友新材料有限公司剩餘股權之收購安排協議》(以下簡稱“《剩餘股權收購安排協議》”)，因煙台信友自2017年成為公司控股子公司以來，經營情況良好，在2017年及2018年均超額完成了《支付現金購買資產協議》中所做的業績承諾，2019年其經營業績繼續保持增長，公司與張利文、賀國新及煙台信友協商一致，就張利文、賀國新持有煙台信友剩餘股權延長收購期限至2026年，即剩餘股權收購期限為自2019年至2026年(以下簡稱“延長收購期間”)。現經各方友好協商，就公司延期收購張利文及賀國新持有煙台信友剩餘股權的收購價格作出補充約定，並簽署《關於煙台信友新材料有限公司剩餘股權之收購安排協議之補充協議》(以下簡稱“《補充協議》”)。
交易對方中的張利文女士繫上海天洋董事，根據《上海證券交易所股票上市規則》等法律、法規及規範性文件的相關規定，張利文為公司關聯方，公司向張利文延期收購煙台信友股權的相關交易構成了關聯交易。、截至目前為止，過去12個月內公司與張利文女士存在關聯交易情況如下：公司於2019年5月30日召開第二屆董事會第二十五次會議，審議通過了《關於公司對煙台信友部分股東實施現金獎勵暨關聯交易的議案》，同意因煙台信友超額完成業績承諾向張利文女士支付獎勵2,727,811.52元。公司於2019年7月9日召開第二屆董事會第二十六次會議，審議通過了《關於公司支付現金購買煙台信友20.96%股權的議案》，同意收購張利文女士持有煙台信友14.07%的股權並支付對價1,646.74萬元。截至目前為止，公司已向張利文女士支付現金獎勵及股權支付對價1,646.74萬元，合計19,195,211.52元。
