永貴電器(300351.SZ)：翊騰電子100%股權已全部過户至盧紅萍名下
格隆匯5月27日丨永貴電器(300351.SZ)公佈，公司分別於2020年4月27日、2020年5月20日召開第三屆董事會第十七次會議及2019年度股東大會，審議通過《關於公司出售資產暨關聯交易的議案》，同意將全資子公司翊騰電子科技(崑山)有限公司(“翊騰電子”)100%股權轉讓給盧紅萍。
根據公司與交易對方盧紅萍於2020年4月27日簽署的《關於翊騰電子科技(崑山)有限公司之股權轉讓協議》(《股權轉讓協議》)，公司擬將翊騰電子100%股權轉讓給盧紅萍，交易價格為2.5億元。此次交易完成後，翊騰電子的股權結構變更為盧紅萍持股100%，公司不再持有翊騰電子股權。
根據坤元評估資產有限公司出具的坤元評報〔2020]199號《資產評估報告》，以2019年12月31日為評估基準日，標的資產賬面淨值約3.18億元，經收益法評估值為約3.54億元。翊騰電子於2020年4月14日就利潤分配事項做出股東決定，並確定翊騰電子截至2019年12月31日可分配利潤中的9000萬元歸屬於此次交易前的股東，即永貴電器。截至本公告出具日，公司已收到上述分紅款，即人民幣9000萬元。
根據公司與盧紅萍簽署的股權轉讓協議，盧紅萍應於協議簽署當日17:00前將其所收購股權交易價款的10%支付給公司，即於2020年4月27日前支付人民幣2500萬元；應於公司關於此次交易相關事項經其股東大會審議通過之日起的七個工作日內將其所收購股權交易價款的41%支付給公司，即於2020年5月29日前支付人民幣10,250萬元。截至本公告出具日，公司已收到盧紅萍支付的上述兩筆股權轉讓款，即人民幣1.275億元。另外，盧紅萍應按照協議約定不遲於2021年4月27日、2022年4月27日向公司支付其剩餘款項的30%(3675萬元)、70%(8575萬元)。
公司在上述事項經股東大會審議通過後向工商管理部門申請了股權轉讓工商變更登記，截至本公告出具日，此次出售資產暨關聯交易事項涉及的工商變更登記手續已辦理完畢，公司持有的翊騰電子100%股權已全部過户至盧紅萍名下，公司不再持有翊騰電子股權。
