惠倫晶體(300460.SZ)澄清：開展金融衍生品交易主要是基於匯率對衝目的
格隆匯5月27日丨惠倫晶體(300460.SZ)公佈，公司近日關注到相關媒體刊登轉載標題為“惠倫晶體引入正奇金融子公司鋪路衍生品交易？”的文章，文中存在猜測、誘導性報道等不實信息，具體如下：
(1)從種種跡象來看，惠倫晶體對金融衍生產品交易業務似乎有很大興趣。
(2)將涉足金融衍生品交易業務?對於公司而言，其對金融衍生品交易業務並不擅長。而眾所周知，金融衍生品交易業務專業性較強，複雜程度較高，盲目操作存在極大的交易風險。在此情況下，如果有正奇金融的助力，對公司無疑大有裨益。
經核實，公司針對上述傳聞事項説明如下：
(1)文中所述惠倫晶體將涉足金融衍生品交易業務，實際為惠倫晶體的進出口業務佔公司較大比重，主要為國外進口設備及原材料。由於全球疫情影響，國際金融市場變化較大以及風險增加，公司考慮到實際情況，為有效規避匯率波動及利率波動對公司帶來的影響，以及規範披露相關信息的要求，經公司董事會、監事會審議通過了總額度不超過2億元人民幣的金融衍生品交易業務的議案。
(2)文中所述公司被聯想子公司舉牌在即，涉足金融衍生品交易業務，稱如有正奇金融助力，將對公司大有裨益。該內容屬於猜測性報道。公司從未與正奇金融在金融衍生品業務方面進行合作。公司與正奇金融的合作，與聯想集團也無直接聯繫，從公司的資金需求方面正奇金融子公司為惠倫晶體提供了融資租賃服務，為公司的繼續發展解決了資金短缺的問題。惠倫晶體控股股東新疆惠倫股權投資合夥企業協議轉讓1000萬股給安徽志道投資有限公司，主要是基於自身資金需求，優化公司股權結構，以及充分利用安徽志道投資有限公司豐富的產業資源以更好推動公司長遠發展的考慮，與公司計劃通過金融衍生品交易用於套期保值的業務無關。
(3)公司主營業務是設計、生產和銷售新型電子元器件(頻率控制與選擇元器件)，主要產品為壓電石英晶體元器件，公司自成立以來一直致力發展電子元器件主營業務，力爭進入本行業全球市場前列。公司此次開展金融衍生品交易主要是基於匯率對衝的目的，降低財務風險。公司將對金融衍生品相關業務進行嚴格把控和審批，堅決不從事相關高風險業務，避免給公司帶來損失。
上述傳聞對公司聲譽造成了嚴重損害，公司將繼續密切關注事件的發展，保留採取相應法律措施的權利，維護公司合法權益。
