科華恆盛(002335.SZ)：收到廈門證監局警示函
格隆匯5月27日丨科華恆盛(002335.SZ)公佈，公司於2020年5月26日收到中國證券監督管理委員會廈門監管局《關於對科華恆盛股份有限公司採取出具警示函措施的決定》([2020]14號)，具體內容公告如下：
“科華恆盛股份有限公司：
經查，我局發現你司存在以下問題。
你司子公司在數據中心建設過程中通過集成商採購的部分集成產品包含來源於集團內部對外銷售的產品，未完全抵銷內部交易未實現的毛利，自建工程存在部分未抵銷的成本。2020年4月30日，你司披露《關於前期會計差錯更正及追溯調整的公告》，對你司2014年度至2018年度財務數據進行追溯調整，其中淨利潤調整金額分別為-328萬元、-965萬元、-1517萬元、77萬元、83萬元，佔調整前淨利潤的比例分別為2.4%、6.1%、8.4%、0.2%、0.9%。
上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條的規定。根據《上市公司信息披露管理辦法》第五十九條的規定，我局決定對你司採取出具警示函的行政監管措施，並記入誠信檔案。你司應當認真吸取教訓，規範會計核算，進一步健全信息披露內部審核工作流程，切實提高信息披露質量，確保信息披露真實、準確、完整，杜絕此類事件再次發生，對相關責任人進行內部問責，並在收到本決定書之日起10個工作日內將改進、學習情況向我局提交書面報告。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
收到上述警示函後，公司高度重視。公司已將上述監管措施決定的內容告知相關責任人，公司及相關人員將以此為戒，認真吸取經驗教訓，加強業務培訓、提升業務能力；加強對《上市公司信息披露管理辦法》以及其他相關法律、法規的學習，進一步規範公司運作水平，依法切實履行信息披露義務，不斷提高公司信息披露質量，杜絕此類事件的再次發生，更好地維護公司及全體股東利益，促進公司健康有序發展。
