容大感光(300576.SZ)披露報告書(草案)：擬2.08億元收購高仕電研100%股權
格隆匯5月25日丨容大感光(300576.SZ)發佈發行股份、可轉換公司債券及支付現金購買資產並募集配套資金報告書(草案)，公司擬向牛國春、袁毅、李慧、石立會共4人以發行股份、可轉換公司債券及支付現金的方式，購買其持有的高仕電研100%股權。
根據重組協議及補充協議，此次發行股份、可轉換公司債券及支付現金購買資產的交易價格為2.08億元，其中以股份支付交易對價的10%，即2080萬元；以可轉換公司債券支付交易對價的60%，即1.248億元；以現金支付交易對價的30%，即6240萬元。
根據中天華出具的中天華資評報字[2020]第10378號《資產評估報告》，評估師對高仕電研100%股權採用收益法和資產基礎法兩種方法進行評估，並選用收益法評估結果作為本次評估結論。截至評估基準日2019年12月31日，高仕電研100%股權採用收益法評估的評估值為20855.38萬元，評估增值16509.90萬元，評估增值率379.93%。
同時，擬向不超過35名符合條件的特定投資者非公開發行可轉換公司債券募集配套資金，募集配套資金總額不超過1.4億元，不超過以發行股份及可轉換公司債券方式購買資產交易價格的100%，募集配套資金髮行可轉債按初始轉股價計算的轉股數量不超過上市公司此次交易前總股本的30%。
此次募集配套融資擬用於支付此次交易現金對價、補充上市公司及標的公司流動資金、支付此次交易相關費用，其中補充流動資金金額不超過募集配套資金總額的50%。
交易對方承諾：高仕電研2020年、2021年和2022年承諾淨利潤分別不低於1500萬元、1750萬元及2000萬元。業績補償基準日為業績承諾期間各年度的12月31日。
此外，重組協議約定了業績補償措施：如標的公司第一年實現淨利潤已達到當年承諾淨利潤的90%，當年不觸發補償程序；如第一年及第二年累積實現淨利潤已達到兩年承諾淨利潤的90%，則第二年不觸發補償程序；如標的公司業績承諾期間累積實現淨利潤達到三年承諾的淨利潤的100%，則不觸發補償程序。除前述情形外，則均應補償。
