控股股東溢價23%提出要約收購,格力地產復牌漲停

今日,格力地產(600185.SH)在復牌後錄得一字漲停板,截至收盤,股價為5.83元/股,成交3648.3萬元,最新總市值為120.16億元。

而從3月24日算起至今,該公司的股價在兩個月的時間內已經飆漲了46%。

資料顯示,格力地產於2009年通過借殼的方式實現上市,公司已經形成房地產業、口岸經濟產業、海洋經濟產業齊頭並進的格局。目前,公司的主營業務收入主要來自房地產業和海洋經濟產業。

從消息面來看,格力地產近期可謂是動作頻頻。

22日晚間,格力地產公告稱,控股股東海投公司決定通過全資孫公司玖思投資採用部分要約收購的方式增持上市公司的股份。

據悉,此次要約收購股份數量為1.83億股,佔格力地產發行股份總數的8.89%,要約價格為6.5元/股,本次要約收購所需最高資金總額為11.9億元。

以停牌前的收盤價5.3元/股計算,這次的要約價格溢價近23%。這也就是説,中間存在着非常大的套利空間。

據悉,本次要約收購完成後,玖思投資和海投公司將最多合計持有上市公司10.31億股股份,佔格力地產已發行股份總數的50%,格力地產不會面臨股權分佈不具備上市條件的風險。

與此同時,格力地產還發布公告表示,為了響應建設粵港澳大灣區政策,促進企業轉型升級,公司擬向實控人珠海市國資委、城建集團非公開發行股票並支付現金,購買其持有的免税集團100%股權,發行價格為4.3元/股,較停牌前的收盤價折價18.87%。

公司還擬向中國通用技術(集團)控股有限責任公司下屬公司通用投資定增配套募資不超8億元,用於支付本次收購的現金對價和標的公司項目建設。

不過,截至預案簽署之日,標的資產的審計、評估工作尚未完成,預估值及擬定價尚未確定。另外,本次交易預計構成重大資產重組。
