華訊方舟(000687.SZ)及控股股東、相關責任人收到河北證監局警示函
格隆匯5月22日丨華訊方舟(000687.SZ)公佈，公司於2020年5月22日獲悉中國證券監督管理委員會河北監管局(“河北證監局”)《關於對華訊方舟股份有限公司、華訊方舟科技有限公司及吳光勝、張崢、李湘平採取出具警示函行政監管措施的決定》(〔2020〕5號)，現將具體情況公告如下：
華訊方舟股份有限公司、華訊方舟科技有限公司及吳光勝、張崢、李湘平：
經查，華訊方舟股份有限公司(“華訊方舟”或公司)存在以下問題：
(一)2019年12月24日，深圳市中級人民法院司法凍結了公司控股股東華訊方舟科技有限公司(“華訊科技”)所持公司股份225,129,552股，佔其所持公司股份的100%，佔公司總股本的29.64%。華訊方舟和華訊科技不晚於2019年12月26日知曉了上述股權凍結事項，但華訊科技未及時履行信息披露告知義務，直至2020年2月3日才通知華訊方舟其所持股份被司法凍結事宜。華訊方舟於2020年2月4日對外披露上述控股股東股份凍結事項。華訊方舟及華訊科技上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號，以下簡稱《信披辦法》)第二條、第三十條和第四十六條的規定，華訊方舟及華訊科技董事長吳光勝、華訊方舟時任董事會祕書李湘平在知曉上述股份凍結事項後未能及時履行披露義務，對上述違規行為負有主要責任。
(二)華訊方舟子公司南京華訊方舟通信設備有限公司(“南京華訊")2018年12月27日向江蘇銀行股份有限公司南京北京西路支行1億元借款2019年12月26日出現逾期，逾期借款金額佔公司最近一期(2018年)經審計淨資產10.06%，但華訊方舟延至2020年2月19日披露上述銀行借款逾期事項。華訊方舟上述行為違反了《信披辦法》第二條、第三十條和第三十三條的規定，華訊方舟董事長吳光勝、財務總監張崢未履行勤勉盡責義務，未能及時發現公司借款逾期事項，對上述違規行為負主要責任。
現根據《管理辦法》五十九條規定，我局決定對華訊方舟、華訊科技及吳光勝、張崢、李湘平採取出具警示函的行政監管措施，並將相關違規行為記入誠信檔案。上述事項反映出你公司內部管理薄弱，你公司應建立健全內部控制，加強信息披露管理，公司全體董事、監事和高級管理人員應強化勤勉盡責和合規運作意識，杜絕類似事件的再次發生，並自收到本決定書之日起30日內向我局提交書面整改報告。
如果相關主體對本行政監管措施不服，可以自收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以自收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，本行政監管措施不停止執行。
