海格通信(002465.SZ)：馳達飛機擬增資擴股並引入平雲資本作為戰略投資者
格隆匯5月22日丨海格通信(002465.SZ)公佈，根據公司的未來發展戰略，為進一步推動公司航空航天產業的發展，支持西安馳達飛機零部件製造股份有限公司(“馳達飛機”)進一步做大做強，馳達飛機擬增資擴股並引入廣州廣電平雲資本有限公司(“平雲資本”)作為戰略投資者。
平雲資本作為此次馳達飛機增資擴股的戰略投資者，以馳達飛機股東全部權益評估價值8.01億元為依據，按18.5111元/股價格增資馳達飛機4000萬元，其中216.0866萬元計入馳達飛機新增註冊資本，3783.9134萬元計入馳達飛機資本公積。海格通信擬放棄參與此次馳達飛機增資擴股，增資完成後，馳達飛機註冊資本變更為4543.218萬元。
平雲資本與公司的實際控制人均為廣州無線電集團有限公司，根據《深圳證券交易所股票上市規則》規定，此次交易構成關聯交易。
馳達飛機屬於航空製造業，掌握大型飛機零部件製造技術，處於產業鏈的中游，主要是為國內外飛機制造商提供飛機結構件、複合材料、航材標準件、模擬器等產品的精密智能製造服務。馳達飛機積極開拓航空領域尖端技術和產品，發展飛機零部件精密智能製造業務，積累了豐富的技術和管理經驗，擁有優質的客户資源，已成為國際航空巨頭、國產飛機制造商、發動機製造廠家的供應商。
近年來，馳達飛機持續保持了較高速的發展水平，業務規模不斷擴大，市場拓展取得積極成效。2019年，馳達飛機通過了空中客車公司供應商資格審核，國際市場邁開重要一步，同時在成都成立子公司，開拓航空發動機零部件製造市場，為國際航空發動製造商GE、RR等公司提供發動機零部件製造，逐步形成大型飛機零部件和發動機零部件製造雙主業發展格局。
隨着馳達飛機市場拓展的不斷深入，需投入更多的資金。此次增資擴股並引入戰略投資者，有利於優化馳達飛機優化股權結構，增強資本實力，擴大業務規模，促進企業良性運營和可持續發展，為下一階段的規模發展和資本運作奠定基礎。
