光大銀行(601818.SH)：匯金轉讓102億股光大銀行股份 取得光大集團新發股份159億股
格隆匯5月22日丨光大銀行(601818.SH)公佈，2020年4月29日，本行收到光大集團書面通知，光大集團收到財政部批覆，同意其向匯金公司增發股份，匯金公司將其持有的本行102.50916094億股A股股份(佔本行總股本的19.53%)轉讓給光大集團(簡稱本次股權變更)。2020年5月6日，本行收到光大集團書面通知，香港證券及期貨事務監察委員會同意豁免光大集團相關要約收購義務。2020年5月20日，光大集團與匯金公司簽署了《中央匯金投資有限責任公司與中國光大集團股份公司關於中國光大銀行股份有限公司之股份轉讓協議》(簡稱《股份轉讓協議》)，匯金公司通過協議轉讓方式向光大集團轉讓其持有的本行102.50916094億股A股股份，佔本行總股本的19.53%，光大集團向匯金公司發行159.50595581億股股份作為對價。
光大集團與匯金公司簽署的《股份轉讓協議》，主要內容如下：
1、股份轉讓
本次轉讓的目標股份為匯金公司合法持有的本行102.50916094億股A股股份。如《股份轉讓協議》簽署日至交割日，本行向匯金公司發行任何股份(簡稱新發股份)，目標股份將變更為102.50916094億股A股股份和新發股份，屆時目標股份的交易價格和匯金公司通過本次股權變更取得的光大集團新發行股份數將根據目標股份的實際數額相應調整。
2、股份轉讓價款與價款支付
經財政部批准，光大集團和匯金公司一致同意，光大集團購買的目標股份的每股交易價格按照本行關於本次股權變更相關公告的公告日(即2020年5月6日)前30個交易日每日加權平均價格或者前1個交易日加權平均價格孰高的原則，確定目標股份每股交易價格為3.75元，目標股份交易價格為384.409353525億元。
光大集團以發行股份方式向匯金公司購買其擁有的目標股份。經財政部批准，光大集團和匯金公司一致同意，光大集團本次發行的股份價格根據截至2019年12月31日光大集團經審計的合併報表歸屬於母公司股東每股淨資產為依據，每股發行價格為2.41元。根據目標股份交易價格和光大集團本次發行的每股發行價格，匯金公司通過本次交易取得光大集團新發行的股份數為159.50595581億股。本次股權變更完成後，本行的控股股東為光大集團，實際控制人未發生變化。
本次股權變更屬於增持，出讓人中央匯金投資有限責任公司(簡稱匯金公司)為收購人中國光大集團股份公司(簡稱光大集團)的控股股東,本次股權變更是在同一實際控制人控制的不同主體之間進行，符合《上市公司收購管理辦法》第六十二條免於發出要約收購的相關規定。
