四川雙馬(000935.SZ)：擬零對價受讓寧波睿騰對和諧錦弘2億元未實繳出資額
格隆匯5月22日丨四川雙馬(000935.SZ)公佈，為持續提升公司的盈利能力，2020年5月22日，公司全資子公司西藏錦旭創業投資管理有限公司(“西藏錦旭”)與寧波梅山保税港區睿騰股權投資合夥企業(有限合夥)(“寧波睿騰”)簽署了《合夥份額轉讓協議》。西藏錦旭擬以零對價受讓寧波睿騰對義烏和諧錦弘股權投資合夥企業(有限合夥)(“和諧錦弘”)人民幣2億元認繳未實繳的出資額(“標的份額”)。在受讓該標的份額後，西藏錦旭將按照和諧錦弘《合夥協議》的約定對和諧錦弘以自有資金進行投資。
和諧錦弘為西藏錦旭已參與投資的基金，投資情況詳見公司2017年8月17日披露的《關於參與投資合夥企業暨關聯交易的公告》。此次標的份額轉讓前，寧波睿騰對和諧錦弘的認繳出資額為15億元人民幣，西藏錦旭對和諧錦弘的認繳出資額為5億元人民幣；在此次標的份額轉讓完成後，寧波睿騰對和諧錦弘的認繳出資額變更為13億元人民幣，西藏錦旭對和諧錦弘的認繳出資額變更為7億元人民幣。
義烏和諧錦弘股權投資合夥企業(有限合夥)主要投資方向：和諧錦弘主要對被投資企業或被投資項目進行股權投資，可轉化為股權的債權投資，以及法律法規允許的其他方式投資。
寧波睿騰基於自身經營安排，擬出讓部分對義烏錦弘的認繳出資份額，為持續提升上市公司的盈利能力，選擇優質的實體經濟企業進行投資和經營管理，為上市公司的業務不斷培養新的增長點，公司擬決定由西藏錦旭受讓寧波睿騰對和諧錦弘的認繳出資份額。
和諧錦弘為西藏錦旭已參與投資且由上市公司全資子公司西藏錦凌擔任執行事務合夥人、上市公司全資子公司西藏錦合創業投資管理有限公司(“西藏錦合”)擔任管理人的基金。公司看好和諧錦弘的發展，擬通過受讓份額增加對和諧錦弘的出資，以期未來獲得良好的投資業績回報。西藏錦旭對和諧錦弘的投資不會導致同業競爭。
和諧錦弘的主要業務為私募股權投資，涉及對項目的選擇、投資合作和項目退出等業務。和諧錦弘投資項目的主要退出方式為資本市場首次公開發行股票、借殼(重組)上市、被其他機構投資者收購等。該關聯交易將使公司子公司西藏錦旭和西藏錦凌可能獲得投資收益，有利於改善公司的經營狀況和盈利能力。
和諧錦弘將主要投資於非證券類股權，國家宏觀經濟環境、宏觀調控政策、產業政策以及國內外市場競爭形勢等因素均有可能影響投資業務運作和投資業績，從而帶來一定的投資風險。
公司將督促執行事務合夥人對和諧錦弘進行專業化運作和管理、建立完善的風險控制體系，並通過提高投資分析的前瞻性、投資決策的科學性和加強投後管理等措施，降低投資風險，實現投資收益。
