凱眾股份(603037.SH)：楊穎韜等四人簽署一致行動協議 共同成為公司實控人
格隆匯5月21日丨凱眾股份(603037.SH)公佈，2020年5月20日，公司收到楊穎韜、楊建剛、侯瑞宏、侯振坤四人《關於簽署一致行動協議的告知函》。楊穎韜、楊建剛、侯瑞宏、侯振坤四人於2020年5月20日簽署了《一致行動協議》，決定在公司重大事項決策上保持一致行動，一致行動期限至公司第三屆董事會任期屆滿，到期後可以續簽協議。
目前，楊穎韜為公司第一大股東。楊穎韜、楊建剛、侯瑞宏、侯振坤四人分別直接持有公司20.88%、2.82%、2.45%和0.28%的股權，合計持股比例26.44%。楊穎韜、楊建剛、侯瑞宏、侯振坤四人均為公司董事，長期在公司擔任關鍵性職務。
公司第三屆董事會由九人組成，包括楊穎韜、楊建剛、侯瑞宏、侯振坤四人、兩名外部董事(一名在股東方任職)和三名獨立董事。
根據《公司章程》第四十一條、第一百二十條等規定，董事會的決策機制如下：董事會會議應有過半數的董事出席方可舉行。董事會決議的表決，實行一人一票。董事會作出決議，必須經全體董事的過半數通過。審議擔保、財務資助等事項需出席會議的三分之二以上董事通過。從董事會構成來看，楊穎韜、楊建剛、侯瑞宏、侯振坤四人擁有四個董事席位，超過董事總人數的三分之一，接近半數，能夠對董事會決策產生重大影響。
根據《公司章程》，公司選舉董事採用累積投票制度。按照股東大會平均出席率50.6453%測算，股東每擁有8.4409%以上的股份表決權比例，可確保獲得1名非獨立董事席位；每擁有16.8818%以上的股份表決權比例，可確保獲得1名獨立董事席位。四人擁有的股份表決權比例為26.44%，若換屆選舉，四人有很大可能決定公司董事會半數以上成員的選任。
綜上，楊穎韜、楊建剛、侯瑞宏、侯振坤四人通過實際支配上市公司股份表決權有很大可能決定公司董事會半數以上成員選任，同時依其可實際支配的上市公司股份表決權足以對公司股東大會的決議產生重大影響，符合《上市公司收購管理辦法》第八十四條規定的相關情形。因此，在四人簽署一致行動協議的情況下，四人共同成為公司的實際控制人。
