上海電力(600021.SH)：購買KE公司股份事項正履行相關程序 尚未完成交割
格隆匯5月21日丨上海電力(600021.SH)公佈，公司於2016年10月28日分別召開2016年第十一次臨時董事會、2016年第四次臨時監事會，並於2016年12月16日召開2016年第一次臨時股東大會，審議通過公司以現金方式購買KESPOWERLTD.(以下簡稱“KES能源公司”或“本次交易對方”)持有的K-ELECTRICLIMITED(以下簡稱“KE公司”)的183.35542678億股股份，佔KE公司總髮行股本的66.40%之交易的相關議案。
截至本公告發布之日，公司及相關各方已經獲得中華人民共和國發展和改革委員會的批覆、巴基斯坦競爭委員會的批准等先決條件。
KE公司新多年電價機制(MYT)事宜進展鑑於2017年3月巴基斯坦國家電力監管局(NEPRA)發佈的新MYT與預期存在差距，KE公司向法院起訴並獲得新MYT不生效的法令，且直至新MYT發佈前，原MYT將一直適用；同時KE公司向NEPRA提交了正式的複議材料，並獲得了受理。之後，交易對方和KE公司開展了大量工作，與NEPRA進行了積極磋商，並獲得了巴基斯坦政府的支持和對KE公司電價訴求的理解。巴基斯坦時間2017年10月9日晚，NEPRA發佈了對KE公司新MYT的複議結果。在新MYT複議結果中，KE公司在複議材料中提出的部分訴求被NEPRA接受並予以調整，但複議結果仍未能達到預期。
根據巴基斯坦相關規定，巴基斯坦聯邦政府有權要求NEPRA對裁定電價進行重新考慮。在NEPRA作出新的決定並告知巴基斯坦聯邦政府之前，電價將暫不生效。經交易對方回覆確認，巴基斯坦政府相關主管部門已就KE公司的新MYT電價複議結果正式致函NEPRA，要求其對電價複議結果進行重新考慮。為此，NEPRA召開了新MYT電價重新考慮聽證會，巴基斯坦政府高度重視並多次召開相關專題會議。NEPRA已公佈了“重新考慮”後的MYT。“重新考慮”後的MYT與《股份買賣協議》中約定的交割先決條件仍有差異，公司正在與交易對方基於“重新考慮”後的MYT展開談判。
本次交易仍存在因電價發生變化而影響標的公司盈利能力的可能，或將導致本次交易終止的風險。上海電力將與本次交易對方和KE公司保持密切溝通，根據最終結果評估對本次交易的影響，並及時披露相關進展情況。
