潮宏基(002345.SZ)：選舉廖創賓為公司新任董事長
格隆匯5月19日丨潮宏基(002345.SZ)公佈，公司董事會近日收到廖木枝提交的書面辭職報告。廖木枝因年齡原因，申請辭去公司董事長職務，同時辭去公司第五屆董事會戰略決策委員會主任委員職務。公司董事會充分尊重廖木枝的個人意見，接受其辭任申請。廖木枝辭任後仍將擔任公司董事、戰略決策委員會委員。
根據《公司法》、《公司章程》等有關規定，廖木枝辭去董事長職務的申請自辭職報告送達公司董事會時生效，其辭任不會對公司的生產經營情況產生影響。
2020年5月19日，公司召開第五屆董事會第十一次會議，審議通過《關於選舉廖創賓先生為公司董事長的議案》，同意選舉廖創賓為公司新任董事長，並擔任董事會戰略決策委員會主任委員，任期自本次董事會審議通過之日起至第五屆董事會任期屆滿之日止。
根據《公司章程》的規定，董事長為公司的法定代表人。因此，公司法定代表人變更為廖創賓。公司將按照有關規定儘快完成法定代表人的工商變更登記手續。
廖創賓：出生於1972年，中國國籍，工商管理碩士。2002年至2006年任廣東潮鴻基實業有限公司董事及總經理，2007年起歷任汕頭市第十二屆、第十三屆人大代表，2013年起歷任廣東省第十二屆人大代表，現任汕頭市潮鴻基投資有限公司董事、公司董事和總經理，兼任潮宏基珠寶有限公司執行董事、廣東潮匯網絡科技有限公司董事長、菲安妮有限公司執行董事、廣東菲安妮皮具股份有限公司董事長、菲安妮(亞太)有限公司董事、深圳市前海一帆珠寶雲商有限公司董事、廣東潮集榜科技有限公司董事長、汕頭市潮宏基置業有限公司執行董事、汕頭大學客座教授、全國珠寶玉石標準化技術委員會委員、中國珠寶玉石首飾行業協會副會長。2009年被國家珠寶玉石質量監督檢驗中心聘為《鑽石分級》國家標準修訂工作特邀專家。2020年1月被聘為自然資源部珠寶玉石首飾檢驗評價技術創新中心技術委員會委員。
廖創賓目前直接持有公司股份2622.169萬股，通過汕頭市潮鴻基投資有限公司間接持有公司股份1785.5963萬股，其直接、間接持有公司股份合計4407.7653萬股，佔公司總股本的4.87%，與公司實際控制人廖木枝為父子關係、董事及副總經理林軍平為姻親關係。
