納思達(002180.SZ)：擬約3.42億元收購欣威科技和中潤靖傑各49%股權
格隆匯5月18日丨納思達(002180.SZ)披露發行股份購買資產報告書(草案)，公司擬發行股份購買標的公司各49.00%股權。此次交易前，公司分別持有欣威科技和中潤靖傑各51%股權；此次交易完成後，公司將分別持有欣威科技和中潤靖傑各100%股權。
公司擬以20863.85萬元的價格向欣威科技股東趙志祥、袁大江、丁雪平和誠威立信發行股份，購買其合計持有的欣威科技49%股權，交易對價將全部以發行股份方式支付。
公司擬以13300.7萬元的價格向中潤靖傑股東彭可雲、趙炯、王曉光、趙志奮、保安勇、濮瑜、王駿宇和中潤創達發行股份，購買其合計持有的中潤靖傑49%股權，交易對價將全部以發行股份方式支付。
打印主要涉及三個關鍵要素，包括打印設備、打印耗材以及承印材料，其中打印耗材與承印材料屬於耗材，在打印過程中是消耗性材料，具有應用範圍較廣、使用週期較短、更新較為頻繁、使用量較大等特點。
此次交易前，納思達是一家以集成電路芯片研發、設計、生產與銷售為核心，以激光和噴墨打印耗材應用為基礎，以打印機產業為未來的高科技企業。在芯片領域，其產品包括了通用耗材芯片、打印機SoC芯片及物聯網芯片；在打印機耗材領域，其產品涵蓋了噴墨耗材、激光耗材、針式耗材及其部件產品和材料；而在打印機領域其主要產品及服務包含了自主品牌的奔圖系列及收購品牌的利盟系列。
截至報告書出具之日，欣威科技主營業務為硒鼓、墨盒等打印耗材的研發、生產和銷售，主要產品包括硒鼓、墨盒和墨水等打印通用耗材；中潤靖傑主營業務為墨盒等打印耗材的研發、生產和銷售，主要產品包括墨盒等打印通用耗材。上市公司的通用耗材芯片業務與標的公司通用耗材生產及銷售業務是上下游關系；上市公司的通用耗材業務與標的公司的前述業務則屬於同一細分領域，在產品和市場上具有一定的協同性和互補性。
通過此次收購標的公司的剩餘股權，上市公司可以進一步夯實對產業鏈的橫向整合佈局，在擴大產能的同時鞏固其在打印耗材銷售領域的市場地位，以更加豐富的產品系列，互補的客户資源，提升公司在通用耗材領域中的競爭力。同時，此次交易後上市公司歸屬母公司的淨資產規模和淨利潤水平等方面均能得到一定提升，有利於增強上市公司的盈利能力和核心競爭力。
