蒙草生態(300355.SZ)擬與巴彥綠業實業及其他種業企業共設合資公司
格隆匯5月15日丨蒙草生態(300355.SZ)公佈，公司(“丙方”)與內蒙古巴彥綠業實業有限公司(“乙方”)及其他種業企業按照4:4:2出資比例共同設立合資公司，註冊資本為8000萬元，合資公司採用市場化運作模式，自主管理、獨立運營，負責黃河流域西北地區種質基因庫和現代種業產業園區整體建設運營。公司或子公司擬用現金及子公司內蒙古蒙草土壤修復與鹽鹼地改良科技有限公司持有的土地首期出資3200萬元，非現金資產出資金額以屆時資產評估報告及出資協議為準。合作模式及內容如下：
1、項目核心區選址位於臨河區八一鄉星光村(農高區範圍內)
2、乙方作為政府出資代表，與丙方及其他種業企業，按照4:4:2入資比例共同成立合資公司，註冊資本為8000萬元。合資公司採用市場化運作模式，自主管理、獨立運營，負責園區規劃設計、招投標、建設運營等。除上述合資公司註冊資本8000萬元，後期分3—5年整合企業自籌資金、政府專項資金、項目融資達到總投資約4.5億元。
3、項目擬投資建設內容包括：種業科技博覽館(含黃河流域西北地區種業大數據管理中心)、種質資源應用館(含種子機械加工、土壤數據庫、種植資源短期保存庫)、種質資源保存庫(含中期庫、長期庫、基因庫)、種質資源博物館、種子檢測中心、資源圃；草種業、沙生植物、道地藥材、小麥、玉米、向日葵、瓜果等專項產業園；良種繁育基地；完成種質資源選育、收集、入庫、保存，土壤樣品收集保存，以達到生物多樣性保護(含主栽農作物、特色農作物、功能性植物等種質資源)，新品種選育及優良品種的應用推廣。
合資公司職責為：
1、合資公司股東按照約定提供註冊資本金，完成合資公司的出資入股。
2、負責完成項目規劃設計、項目審批等。
3、負責“一區多園N基地”建設，包括種業科技博覽館(含黃河流域西北地區種業大數據管理中心)、種質資源應用館(含種子機械加工、土壤數據庫、種植資源短期保存庫)、種質資源保存庫(含中期庫、長期庫、基因庫)、種質資源博物館、種子檢測中心、資源圃；草種業、沙生植物、道地藥材、小麥、向日葵、瓜果等專項產業園；良種繁育基地；完成種質資源選育、收集、入庫、保存，土壤樣品收集保存，以達到生物多樣性保護(含主栽農作物、特色農作物、功能性植物等種質資源)，新品種選育及優良品種的應用推廣。
4、確保做好種質資源的保存、管理、應用、檢測、品種圃種植實驗、展示等系列服務。
5、以黃河流域西北地區生物多樣性保護為目標(含主栽作物、特色農作物、功能性植物)、完成新品種選育、優良品種應用推廣、促進國際合作交流，每年召開2-3次種質博覽會。
6、每年為農企及農牧民開展種質資源相關培訓、交流，併為當地農企及農牧民提供種子代儲存服務。
公司此次同內蒙古巴彥綠業實業有限公司及其他種業企業共同出資設立合資公司，將公司種質資源和生態數據應用優勢與政府資源相結合，有利於推動公司種質資源建設、推廣及後續業務合作開展、有利於公司在該地區應收賬款的回收。同時對培育具有自主知識產權的優良品種，發展河套灌區現代農業，建設河套全域綠色有機高端農畜產品生產加工服務輸出基地，黃河流域生態保護具有重要的意義。
