偉祿集團(01196.HK)溢價對先施(00244.HK)提全購，有意進軍香港百貨業務 下週一雙雙復牌
格隆匯5月15日丨要約人偉祿集團(01196.HK)及先施(00244.HK)聯合公佈，待先決條件獲達成或豁免(視情況而定)後，偉祿亞太擬代表要約人作出自願有條件現金要約，以收購全部已發行先施股份，於聯合公佈日期，已發行先施股份為13.14億股，初步要約價為每股先施股份現金0.3806港元，較於最後交易日收市價每股先施股份0.35港元溢價約8.74%。
要約一經作出，將僅於截止日期下午四時正(或要約人可能決定並經執行人員批准的任何其後截止日期)就要約接獲有關先施股份的有效接納(及(倘允許)有關接納並無被撤回)，並連同於要約之前或之時收購或同意收購的先施股份，將導致要約人及其一致行動人士持有先施逾50%投票權(即至少6.57億股先施股份)(基於在聯合公佈日期已發行的先施股份數目計算)，方可作實。
於聯合公佈日期，Win Dynamic持有6.63億股先施股份(相當於已發行先施股份約50.42%)及先施公司持有合共2.60億股先施股份(相當於已發行先施股份約19.82%)。Win Dynamic及各先施公司已分別向要約人作出將於要約作出時接納要約的不可撤銷承諾。因此，要約的條件將於Win Dynamic及先施公司分別就要約提交有效接納後達成。
於聯合公佈日期，美林控股為要約人的控股股東，於10.73億股偉祿股份擁有實益權益，相當於要約人已發行股本約74.62%。美林控股由林曉輝及蘇嬌華分別擁有70%及30%權益。
公告稱，於1919年在香港註冊成立的先施經歷百多年發展，歷史悠久，並在香港經營其中一座最知名、最具規模的百貨公司，陪伴多代顧客成長。先施集團現時在旺角、中環、深水埗、油塘及荃灣經營五間零售店。先施集團於截至2019年2月28日止年度產生的收益超過3億港元。儘管先施於日期為2020年4月8日之公佈中指先施集團估計將就截至2020年2月29日止年度錄得虧損增加，但由於先施集團的百貨業務根基穩固，更預期待新冠肺炎疫情紓緩和受控後被抑制的購買力得到釋放，業務可能出現反彈，故要約人對先施集團的長遠表現仍然抱有信心。
要約人認為，由於作出要約而引致的收購將為偉祿集團使其業務更多元化及進軍香港百貨業務的機會。此外，考慮到偉祿集團其中一項主要業務為物業投資、發展及商業運營，偉祿集團或可透過整合及/或利用偉祿集團所持有的物業，藉助先施集團於經營百貨店方面之經驗，在發展物業發展及商業運營方面產生潛在協同效益。憑藉先施在經營百貨店方面之悠久歷史和經驗，偉祿集團將能整合及進一步發展其於中國的物業發展及商業運營業務。
此外，要約人已向聯交所申請批准偉祿股份自2020年5月18日上午九時正起於聯交所恢復買賣。先施已向聯交所申請批准先施股份自2020年5月18日上午九時正起於聯交所恢復買賣。
