格隆匯5月15日丨棕櫚股份(002431.SZ)公佈,公司於2020515召開第五屆董事會第次會議,審議通過了關於擬與參股公司簽訂資產轉讓及債務抵償協議的議案》。

公司曾於2017418日召開第三屆董事會第四十七次會議2017511日召開的2016年年度股東大會,審議通過了《關於全資子公司對參股公司提供財務資助的議案》,同意公司的全資子公司棕櫚盛城投資有限公司(“甲方”或盛城投資)以自有資金向其下屬參股公司貴州棕櫚仟坤置業有限公司(“乙方”或貴州棕櫚仟坤)提供不超過人民幣2.5億元的財務資助額度,用於持續推進時光貴州項目的進展,補充項目的流動資金。務資助期限為三年,以資金實際支付之日起計算。盛城投資已於20175月至11月期間,以委託貸款方式貴州棕櫚仟坤合計發放貸款本金2.5億元

貴州棕櫚仟坤主要負責開發、運營“時光貴州(二期)”文旅小鎮項目,項目於20168月正式開街,由於時光貴州(二期)全部為商業物業,體量較大去化週期較長,而近年來由於項目周邊商業廣場、商業街、古鎮等同類型產品應量加大,對項目的物業銷售進度造成一定影響;雖然貴州棕櫚仟坤根據市場變時光貴州二期項目定位進行調整以期提高商户質量提高運營收益,但際相關調整仍未能取得良好效果;尤其今年初以來,受新冠疫情影響,時光貴州景區人流驟降,項目運營效益以及商業物業銷售較之前影響更大目前時光貴州(二期)運營收入減少,現金流回籠較慢,預計無法按期償還即將到期的委託貸款本金及利息。

鑑於債務人貴州棕櫚仟坤短期內無法現金償還債務,為確保盛城投資委託貸款的回收解決雙方間的債權債務關係,經雙方協商,盛城投資作為債權人,擬與債務人貴州棕櫚仟坤簽訂《資產轉讓及債務抵償協議》,貴州棕櫚仟坤以合法持有的資產轉讓給盛城投資盛城投資指定的第三方,以抵償其對盛城投資委託貸款合同項下應付本金、利息及其他應付款項等債務。

目標資產系位於貴州省貴陽市清鎮市X196(百花路)時光貴州古鎮的424項商業物業,賬面值合計為259,622,251.59元,建築面積共計29,055.76平方米。上述資產為乙方合法持有的自有資產,所有權權屬清晰。

次交易完成後,不會對公司的生產經營產生重大影響;同時,此次用資產抵償債務有利於降低公司債權回收的不確定性風險;後續公司將通過下屬的資管公司平台儘快推動對上述資產的有效盤活,以期提升資產價值。未來根據資產的運營或處置情況,可能對公司財務報表數據有一定影響。

公司全資子公司棕櫚盛城投資有限公司持有貴州棕櫚仟坤50%股權,成都仟坤投資有限公司持有貴州棕櫚仟坤50%股權。
