堡獅龍國際(00592.HK)：龍躍發展擬收購約66.60%股權 將提強制性無條件現金要約
格隆匯5月15日丨龍躍發展、非凡中國(08032.HK)及堡獅龍國際(00592.HK)聯合公佈，2020年5月14日，龍躍發展有限公司(要約人)作為買方、羅家聖作為賣方及非凡中國作為買方擔保人訂立購股協議，據此，要約人(為由VC Consumables擁有80%及Keystar擁有20%的公司)已有條件同意收購，而賣方已有條件同意出售銷售股份(即約10.93億股堡獅龍股份，佔該聯合公告日期堡獅龍已發行股本總數的約66.60%)。銷售股份的代價為4662萬港元，相當於每股銷售股份約0.043港元。股份要約價0.043港元較5月14日收市價每股堡獅龍股份0.148港元折讓約70.95%。
要約人及其一致行動人士於該聯合公告日期並無對任何堡獅龍股份或堡獅龍的其他相關證券具有擁有權、控制權或指導權，且於該聯合公告日期前的6個月內未曾買賣堡獅龍股份或堡獅龍的其他相關證券以獲取價值。緊隨完成後，要約人及其一致行動人士將擁有合共約10.93億股堡獅龍股份(佔該聯合公告日期已發行堡獅龍股份的約66.60%)。
根據收購守則規則26.1，緊隨完成後，要約人必須對全部已發行堡獅龍股份(要約人及其一致行動人士已擁有或同意收購的股份除外)提出強制性無條件現金要約。要約人亦須根據收購守則規則13.5向堡獅龍購股權持有人提出可資比較要約，以註銷所有未行使的堡獅龍購股權。
股份要約價每股要約股份0.043港元與要約人根據購股協議應付的每股銷售股份的價格相同。堡獅龍購股權的行使價均高於股份要約項下每股要約股份的股份要約價0.043港元。安排將根據購股權要約作出，按名義代價每份堡獅龍購股權0.0001港元註銷堡獅龍購股權。
於該聯合公告日期，堡獅龍有約16.41億股已發行堡獅龍股份及約8870.8萬份堡獅龍購股權，該等堡獅龍購股權賦予堡獅龍購股權持有人按不同行使價認購堡獅龍股份的權利。非凡中國及要約人有關要約的財務顧問創越融資信納，要約人將有充足的財務資源用以支付代價和全面接納要約。要約截止後，要約人有意維持堡獅龍的聯交所上市地位。
堡獅龍獨立董事委員會已由堡獅龍建立以就要約向堡獅龍獨立股東及堡獅龍購股權持有人提供建議。浤博資本已獲委任為獨立財務顧問，以就要約及是否接納向堡獅龍獨立董事委員會提供意見。浤博資本的委任已獲堡獅龍獨立董事委員會批准。
