諾普信(002215.SZ)擬推1483.75萬股限制性股票激勵計劃
格隆匯5月14日丨諾普信(002215.SZ)披露2020年限制性股票激勵計劃(草案)，該激勵計劃擬授予的限制性股票數量為1483.7471萬股，佔該激勵計劃草案公告時公司股本總額約9.14億股的1.62%。其中首次授予1193.7471萬股，佔該激勵計劃草案及摘要公告日公司股本總數約9.14億股的1.31%，佔此次授予限制性股票總量的80.45%。預留290萬股，佔該激勵計劃草案及摘要公告日公司股本總數的0.32%，佔此次授予限制性股票總量的19.55%。
截至該激勵計劃公告日，公司全部在有效期內的股權激勵計劃所涉及的標的股票總數累計1,483.7471萬股，佔該激勵計劃草案公告時公司股本總額約9.14億股的1.62%，未超過公司股本總額的10%；單個激勵對象通過全部在有效期內的股權激勵計劃所獲授的限制性股票數量累計均未超過當前公司總股本的1%。
限制性股票授予價格為3.17元，在該激勵計劃公告當日至激勵對象完成限制性股票登記期間，若公司發生資本公積轉增股本、派發股票紅利、股份拆細或縮股、配股、派息等事宜，限制性股票的授予價格或授予數量將根據該激勵計劃予以相應的調整。
該激勵計劃授予的激勵對象總人數為170人，包括公司公告該激勵計劃時在公司任職董事(不含獨立董事)、高級管理人員、部分核心管理、技術(業務)人員(含子公司,下同)。預留激勵對象指該計劃獲得股東大會批准時尚未確定但在該計劃存續期間可能納入激勵計劃的激勵對象，由該計劃經股東大會審議通過後12個月內確定。預留激勵對象範圍為公司(含子公司)董事、高級管理人員、核心技術(業務)人員，及董事會認為需要進行激勵的相關人員。超過12個月未明確激勵對象的，預留權益失效。參與該激勵計劃的激勵對象不包括公司監事和獨立董事。單獨或合計持有公司5%以上股份的股東或實際控制人及其配偶、父母、子女未參與該激勵計劃。
